The Nevada Articles of Organization for Professional Limited-Liability Company is a ready to use form template which will outline the minimum reporting requirements the Nevada Secretary of State will require of forming Professional Limited Liability Company. There will be some specific differences between a Professional Limited Liability Company and a Limited Liability Company which will need to be covered when registering with the Nevada Secretary of State. Step 1 – Select the links above to download the appropriate PDF forms. The information required on these forms may be filled out on screen then printed and signed or printed then typed. Step 2 – In Article 1, “Name of Professional Limited-Liability Company,” report the Full Name the Professional Limited Liability Company being formed will be known and registered as. This name must employ the use of a Business Designator that is appropriate for this entity in this state. Organizers have a choice of using one of several Business Designators: Professional Limited-Liability Company, Prof. L.L.C., Prof. LLC, P.L.L.C, PLLC, Chartered, Chtd., Limited, or Ltd.” This must be a distinguishable Name having at least one Last Name of any of the current or past members.

Step 3 – In Article 2, “Registered Agent of Service of Process,” you will need to first define the type of Nevada Registered Agent obtained by the forming Professional Limited Liability Company. There are three choices in the form of check boxes and you may only choose one: Commercial Registered Agent, Noncommercial Registered Agent, or Office or Position with Entity. If the Professional Limited Liability Company has obtained a Commercial Registered Agent, then check the first box and enter the Full Name of the Commercial Registered Agent in the blank space provided. If the Professional Limited Liability Company is a Noncommercial Registered Agent or an Office or Position with Entity, then place a mark in either the first or second check box (respectively). If the Nevada Registered Agent is either a Noncommercial Registered Agent or an Office or Position, then proceed to Step 4. If the Registered Agent is a Commercial Registered Agent, then proceed to Step 8.

Step 5 – If the Nevada Registered Agent is either a Noncommercial Entity or an Office within the Entity, you will need to report either the Full Name of the Registered Agent or the Title/Office within the Professional Limited Liability Company that Service of Process may be served. This may be done in the blank space provided beneath the word “Or.”

Step 6 – On the line beginning with the blank space labeled “Street Address,” you must report the Full Street Address where the Nevada Registered Agent will be physically found. This may not be a Mailing Address or contain a P.O. Box. The “Street Address” field will require a Building Number, Street, and (if applicable) Unit Number of the Noncommercial Registered Agent or the Professional Limited Liability Company Office or Title serving as the Nevada Registered Agent. In the following blank spaces, “City” and “Zip Code,” report the City and Zip Code where the Nevada Registered Agent is. Notice that since a Nevada Registered Agent is required to maintain a Physical Address in Nevada, the State is predetermined as “Nevada.” Do not fill in this Address section if the Registered Agent is a Commercial Registered Agent.

Step 7 – The line beginning with the blank space labeled “Mailing Address…” is applicable and requires information only if the Nevada Registered Agent has a Mailing Address that is separate from the Physical Address you have just entered. If this is the case, enter the Mailing Address using the spaces labeled “Mailing Address…,” “City,” and “Zip Code.” Do not fill this section in if the Nevada Registered Agent is a Commercial Registered Agent.

Step 8 – In Article 3, “Name and Address of the Original Members and Managers,” report the Full Name and Address of each Member and Manager serving the Professional Limited Liability Company. A certificate from the Regulatory or Licensing Board in charge of the Professional Service provided by the Professional Limited Liability Company verifying that each Manager, Member, and Organizer of this Professional Limited Liability Company is properly licensed to render the services the Professional Limited Liability Company will provide. A domestic Professional Limited Liability Company may only be considered such if each Manager, Member, and Organizer is a licensed professional in the State of Nevada. There will be enough room to report three individuals however, if this is not enough room to list every Manager and Member, then you may continue the report on a separate document and attach it. This must be a complete Roster.

Step 9 – In Article 4, “Management,” indicate whether the Professional Limited Liability Company is Manager managed or Member managed by checking one of the boxes provided. If this is a Manager managed company, then place a mark in the first check box. If this is a Member managed company, then place a check mark in the second check box.

Step 10 – In Article 5, “Profession to be Practiced,” report the exact licensed service the Professional Limited Liability Company will render (i.e. Veterinarian, Dentist, etc.).

Step 11 – In Article 6, “Name, Address and Signature of Organizer,” at least one Organizer will need to enter his or her Name in the space labeled “Name,” his or her Address using the spaces provided (“Address,” “City,” “State,” and “Zip Code”), and Sign his or her Name on the blank line labeled “Organizer Signature.” If more than one Organizer wishes to Sign this document, then he or she must also provide his or her Name, Address, and Signature on a separate properly labeled document and attach it.

Step 12 – In Article 7, “Certificate of Acceptance of Appointment of Registered Agent,” the Nevada Registered Agent, or an authorized Representative of the entity acting as the Nevada Registered Agent for this Professional Limited Liability Company, must Sign his or her Name on the blank line labeled “Authorized Signature of Registered Agent or…,” then enter the Date of Signature in the blank space labeled “Date.”

Step 13 – Once you have verified all the information being provided via the Nevada Articles of Organization Professional Limited Liability Company is up to date and accurate, you may package it with the necessary attachments and a payment of $75.00 (Filing Fee). Step 14 – You will need to also keep up with follow up filings required by the Nevada Secretary of State. One such filing is the Annual List. The Initial Annual List must be filled out and submitted before the last day of the month this document has been filed. Then, it must be filled out and submitted by the last day of the Anniversary Month of this filing. The Initial Annual List Fee is $150.00.
