How to Form an LLC in Nevada – NV Secretary of State

The Nevada Articles of Organization Limited-Liability Company is a required Nevada Secretary of State filing for any entity intending to conduct or transact business as a Limited Liability Company in the State of Nevada. This form is available for domestic entities wishing to register however if the registering Limited Liability Company is an out-of-state entity then it must file the Nevada Application for Registration of Foreign Limited Liability Company. Step 1 –  Give the Limited Liability Company being organized a Name. This Name may not be misleading in any way and must not be taken by another entity in the State of Nevada. You may use the Nevada Secretary of State Business Search here: http://nvsos.gov/sosentitysearch/ if you wish to check whether the desired Name is taken. Another requirement is the use of a Business Designator to indicate the entity status (i.e. “Limited Liability Company,” “LLC,” “L.L.C,” etc.) If you have found a Name that can be used then you have the option to reserve it with the Nevada Secretary of State online here: https://www.nvsilverflume.gov/account/login?service=https%3A%2F%2Fwww.nvsilverflume.gov%2Fj_spring_cas_security_check for a $25.00 Fee.

Step 2 – After settling upon a unique Name, several additional actions will need to be taken. Generally, it is a good idea to consult with a trained professional such as a Nevada licensed attorney to make sure that each government entity’s requirements that need to be satisfied before registering the Limited Liability Company with the Nevada Secretary of State. In fact, the Limited Liability Company will need to obtain a Nevada Registered Agent before registering the Limited Liability Company with the Nevada Secretary of State. The Nevada Registered Agent will need to have a Physical Address in the State of Nevada where he or she may receive court procedures such as Service of Process on behalf of the registering Limited Liability Company.

Step 3 – Once all prerequisite requirements have been fulfilled you may register the Limited Liability Company with the Nevada Secretary of State. A Domestic Limited Liability Company will need to submit a Nevada Articles of Organization Limited-Liability Company, a Professional Limited Liability Company will need to submit a Nevada Articles of Organization for Professional Limited Liability Company, while foreign entities will need to submit a Nevada Application for Registration of Foreign Limited Liability Company. The Filing Fee for any of these documents is $75.00. This is payable with a credit card if you are filing online or with a check payable to “Secretary of State” if you are filing by mail.

After Formation

Structure: Newly formed Limited Liability Companies are generally encouraged to set up regularly scheduled Organizational Meetings. In many cases, this will improve the efficiency of the Limited Liability Company and even serve to prevent confusion.

EIN: You may request an Entity Identification Number from the Internal Revenue Service if the registered Limited Liability Company is required to have one. The EIN is used for tax identification purposes. Some entities are staunchly required to obtain one directly from the Internal Revenue Service. Contact the I.R.S. regarding this matter as soon as possible.

Maintenance: There may be several requirements to keep the Limited Liability Company in compliance with State Regulations which will depend upon the specific entity type and/or the location of the Limited Liability Company. One such requirement is placed by the Nevada Secretary of State. All Limited Liability Companies must file an Annual List beginning with the Nevada Initial Annual List due by the last day of the month the Nevada Articles of Organization (or Application for Registration) are being filed. The Filing Fee for this is $150.00. This report must be filed once year, every year, by the last day of the anniversary month of the Limited Liability Company’s filing.
