How to Form a Foreign Limited Liability Company in Nevada – Application for Registration of Foreign Limited Liability Company

The Nevada Application for Registration of Foreign Limited Liability Company must be submitted and approved by the Nevada Secretary of State when an entity wishes to conduct business as a Limited Liability Company in the State of Nevada. The information required on this application should sufficiently satisfy the minimum registration information requirements of the Nevada Secretary of State however this may not extend to all foreign Limited Liability Companies. It is generally suggested that applying foreign entities seek professional advice (i.e. from a Nevada attorney) regarding the registration process.

The Nevada Secretary of State will require payment of a $75.00 Filing Fee for this application. You may pay this fee with a check or with a credit card (checks payable to “Secretary of State. You may file the Nevada Application for Registration of Foreign Limited Liability Company and all relevant documents with the Nevada Secretary of State in person, by mail, or online. When filing you have several options.

Generally, it will take five to seven days from the day of receipt for the reviewing process to be completed. You may expedite this to 24 Hour processing for an additional $125.00. If you wish to expedite to 2 Hour service, you may request it for an additional $500.00. If you wish to expedite to 1 hour service, you may do so for an additional $1,000.00 fee. Another available option is to have a Certified Copy mailed back with the filed stamped copy. This will require a payment of $30.00 (certification fee). Step 2 – Locate the first item. Here, you will need to enter the Full Legal Name of the foreign Limited Liability Company applying to register as it is known in its home or domicile state. Note: If this is a Series Limited Liability Company then place a mark in the box labeled “Check box if a Series Limited Liability Company.”

Step 3 – The next item, “Name Being Registered with Nevada,” may be considered conditional. That is, it should only be filled out if the foreign Limited Liability Company’s True Legal Name may not be used by the entity in the State of Nevada. In such a case, an Alternate Name must be used by the foreign Limited Liability Company in the State of Nevada as a means of Identification. If the True Legal Name of the foreign Limited Liability Company is available for use in the State of Nevada, then leave this item blank.

Step 4 – A few pieces of information will need to be reported in the third item (“Entity Domicile”). First, in the blank space labeled “Date Formed,” enter the Date the foreign Limited Liability Company first achieved its business status (in its home state). Then, in the space labeled “State or Country where Authorized,” report the State or Jurisdiction where the foreign Limited Liability Company has been organized (its home state). Finally, if the foreign Limited Liability Company is in good standing in its home state or state of formation, place a mark in the box labeled “This entity is in good standing in the jurisdiction of its incorporation/creation.”

Step 5 – In the fourth item, “Registered Agent for Service of Process,” you will need to document the Type, Identity, and Location of the Nevada Registered Agent. This is the entity that has agreed to receive Service of Process and other such processes on behalf of the foreign Limited Liability Company. This entity must have a Registered Office physically located in the State of Nevada. If you are reporting a Commercial Registered Agent, then check the first box and enter the Name of the Commercial Registered Agent in the space labeled Name. Proceed to Step 9 when you have done this. If the Registered Agent being reported is not a Commercial Registered Agent, then leave the first box blank and proceed to Step 10.

Step 6 – If the Nevada Registered Agent is a Noncommercial Registered Agent then select the box labeled “Noncommercial Registered Agent (name and address below). If the Nevada Registered Agent is an Office/Title in the foreign Limited Liability Company, then select the box labeled “Office or Position with Entity (name and address below).

Step 7 – The field labeled “Name of Noncommercial Registered Agent OR Name of Title of Office or Other Position with Entity” will require the Full Name of a Noncommercial Registered Agent or the Exact Office/Title Name serving the foreign Limited Liability Company’s need for a Nevada Registered Agent to be entered.

Step 8 – The next line, beginning with “Street Address,” will require the Physical or Geographical Location of the Nevada Registered Agent. Report the Registered Agent’s Building Number, Street, and Unit Number in the box labeled “Street Address,” the City in the box labeled “City,” and the Zip Code in the box labeled “Zip Code.” This must be a physical location in the State of Nevada maintained and occupied by the Nevada Registered Agent. If the foreign Limited Liability Company’s Nevada Registered Agent has a separate Mailing Address, proceed to Step 9. If the Nevada Registered Agent does not have a separate Mailing Address, then proceed to Step 10.

Step 9 – If the Nevada Registered Agent being reported has a Mailing Address that differs from the Street Address, then you must report this on the line labeled “Mailing Address.” Three boxes will be provided to this end: Mailing Address, City, and Zip Code. When reporting such an Address make sure it is up to date and accurate.

Step 10 – In the fifth item, “Records Office,” you will need to document precisely where the business records of the foreign Limited Liability Company are stored and kept. Report the Physical Address of this location in the space labeled “Street Address.” Then, report the City, State, and Zip Code of this Address in the fields provided (“City,” “State,” “Zip Code).

Step 11 – In the sixth item, “Street Address of Principal Office,” you will need to report the Physical Location of either the Office the foreign Limited Liability Company’s home state mandates it maintains or the Principal Office wherever that may be. That is, if the home jurisdiction requires that a Physical Location be maintained in its home state by the foreign Limited Liability Company then report this using the “Street Address,” “City,” “State,” and “Zip Code” boxes. If, and only if, this is not a requirement of the foreign Limited Liability Company’s home jurisdiction, then use the “Street Address,” “City,” “State,” and “Zip Code” boxes to report the location of the foreign Limited Liability Company’s Principal Office.

Step 12 – The seventh item, “Name and Address of each Manager or Member,” a full Roster of each Manager and Members must be provided. This must include each party’s Full Name and Complete Address. There will only be enough room on the form itself to report one such party thus, if there is more than one Manager/Member then a separate document with the Full Name and Complete Address of each Manager and each Member of the foreign Limited Liability Company must be composed, properly labeled, and attached.

Step 13 – The eight item will require the Full Name and Signature of a Member or Manager authorized by the foreign Limited Liability Company to submit this document to the Nevada Secretary of State on its behalf be provided. The Signature Party must first print his or her Name in the space labeled “Name” then Sign his or her Name on the blank line labeled “Authorized Signature.”

Step 14 – The ninth item of this form requires the Nevada Registered Agent or an Authorized Representative of the Nevada Registered Agent named in the fourth item provide his or her Signature and Date of Signature in the spaces provided. This will act as an acknowledgement of this party’s acceptance of the Nevada Registered Agent role for the applying foreign Limited Liability Company.

Step 15 – Once you have completed this forms requirements and have attached all relevant attachments, you may submit the Nevada Application of Registration of a Foreign Limited Liability Company to the Nevada Secretary of State by mail or in person. A payment of $70.00 must be remitted either by check (payable to “Secretary of State”) or by credit card (fill out and include the Nevada ePayment form). You may also fill out a Customer Instructions form to order 24 Hour expediting, 2 Hour expediting, or 1 Hour expediting of this filing. You may also order additional copies and certified copies. You will receive one filed stamped copy as a result of this submittal once this paper work is successfully processed (5 – 10 business days for regular service). If you wish additional copies, this will bear a Copy Fee of $2.00/page. A Certified Copy will require an additional payment of $30.00. Finally, expediting to 24 Hour service will have a $125.00 Expediting Fee. The Expediting Fee for 2 Hour service and 1 Hour service is $500.00 and $1,000.00 respectively.

Step 16 – Upon a successful filing, the foreign Limited Liability Company will be required to file an Initial Annual List by the last day of the Month it has filed. This Annual List must be submitted once a year by the last day of the foreign Limited Liability Company’s filing Anniversary Month. This will have a Filing Fee of $150.00 which must be paid upon submission.
