Step 1 – The first step when forming a Limited Liability Company in the State of New Hampshire is to make sure the entity bears a Name to be identified by. Since the Name of the Limited Liability Company is used for Identification, it must be unique in the State of New Hampshire. Additionally, it must have a business suffix that also identifies the type of entity this business is (“LLC,” “Limited Liability Company,” etc.). If you wish, you may check the New Hampshire Business Search Tool to see if the Name you have chosen is used by any other entities by clicking here: https://www.sos.nh.gov/corporate/soskb/csearch.asp. If desired, you may also reserve the Name for the use of the Limited Liability Company you are registering by submitting the New Hampshire Application for Reservation of Name for Corporation, Limited Liability Company, Limited Liability Partnership, Limited Partnership, or New Hampshire Trust. The Filing Fee for a Name Reservation is $15.00.

Step 2 – Next, you will need to make sure you take all the steps necessary to organize the Limited Liability Company’s structure and paperwork. For instance, you will need to obtain an individual or business entity, with a Physical Address in New Hampshire, who has consented to accepting Service of Process on behalf of the Limited Liability Company.

Step 3 – When the Limited Liability Company that will operate in the State of New Hampshire has been organized and all preliminary requirements fulfilled, you may register the entity as a Limited Liability Company with the New Hampshire Secretary of State by submitting a completed New Hampshire Certificate of Formation Limited Liability Company (Form LLC-1). All Limited Liability Companies wishing to operate in the State of New Hampshire (domestic or foreign) must have their registration approved by the New Hampshire Secretary of State. The Filing Fee will be $100.00 which may be paid for with a check made out to “State of New Hampshire.”

After Formation

Structure: Generally in order for a Limited Liability Company to function efficiently, it is recommended to take some simple steps. That is, make sure there is a good record taking procedure, an Operational Agreement in effect, and that Organizational Meetings are held regularly.

EIN: The Entity Identification Number may only be assigned by the Internal Revenue Service. The EIN is primarily used by the IRS for Tax purposes however this will add an additional level of identification. Not every Limited Liability Company is required to obtain an EIN. Contact the Internal Revenue Service directly for more information.

Maintenance: The New Hampshire Secretary of State will require that all Limited Liability Companies operating in the state file a New Hampshire Annual Report (Filing Fee: $100.00), every year, by April 1. This must be done online here: https://quickstart.sos.nh.gov/online/Account.
