How to Form an LLC in North Dakota – ND Business Registration Unit

Step 1 – Every Limited Liability Company in the State of North Dakota must operate under a unique Name in this state. Additionally, the Limited Liability Company will must also incorporate an appropriate business suffix. In most cases, this must be “Limited Liability Company,” “LLC,” and “L.L.C.” If you would like to increase the chances of submitting a unique Name when it is time to register an entity, then it is recommended to search the North Dakota Secretary of State Records to make sure no other entity has possession of the Name you’ve chosen for the Limited Liability Company being registered. Once you have designated a unique Name to the entity being formed, you have the option of reserving this Name by submitting the North Dakota Reservation Name Application (Filing Fee: $10.00).

Step 2 – Next, you will need to make sure the entity is being formed in compliance with all State and Local Regulations that apply to it. There are some basic requirements all Limited Liability Companies must make sure to fulfill, such as obtaining a North Dakota Registered Agent to receive Service of Process on its behalf, and others that are specific to registering entity. For instance, certain types of Professional Limited Liability Companies will need to provide additional paperwork.

After Formation

Structure: Limited Liability Companies are not required to have Organizational Meetings or Operational Agreements set in place however, it is often suggested that having standard procedures and written agreements is the foundation of running a company properly. These measures will potentially aid in avoiding misunderstandings or even prevent costly breaches of confidence.

EIN: The Internal Revenue Service is the only entity that may assign an Entity Identification Number. This number serves as a Tax ID for the company it is assigned. Some Limited Liability Companies may not need to obtain one however, many will. Contact the Internal Revenue Service for more information to make sure the entity being formed is in compliance with the expectations of the I.R.S.

Maintenance: Limited Liability Companies will need to remain in compliance via occasional filings with a variety of governing institutions. One such requirement is the North Dakota Limited Liability Company Annual Report which must be filed every year by November 15.
