How to Form a Limited Liability Company in North Carolina – Limited Liability Company Articles of Organization

The North Carolina Limited Liability Company Articles of Organization must be filled out and filed with the North Carolina Secretary of State for approval. Limited Liability Companies in this state may only do so under the auspices of the North Carolina Secretary of State. This will require a $125.00 Filing Fee. You may pay this fee with a check or a money order made out to “North Carolina Secretary of State.”

Typically, it will take nine to twelve business days from the time for reciept for the North Carolina Secretary of State to process this paperwork. You may expedite this process to twenty four hours by requesting it and paying an additional $100.00 Expediting Fee or you may expedite it to Same Day Service for an additional $200.00 Expediting Fee.

Step 1 – You will need to download a blank copy of the North Carolina Limited Liability Company Articles of Organization. You may doe this by selecting the link labeled “Download Form” above. This will deliver a PDF form which may be edited with a PDF Program or a form friendly browser (although you will need to print out the form as soon as your done if using the latter).

Step 2 – Article 1 will require the Full Name of the Limited Liability Company being formed by these articles. This Name should be unused by any other entity in the State of North Carolina and must contain the appropriate suffix designation (L.L.C., Limited Liability Company, LLC, etc.).

Step 3 – In Article 2, you will need to report the Name, Address, and Capacity for each Organizer of this Limited Liability Company. There will be three columns provided for this purpose: “Name,” “Address,” and “Capacity.” Each row should contain the Name, Address, and how that Organizer is related to the Limited Liability Company (i.e. Director, Member, Manager, etc.).

Step 4 – In Article 3, report the Full Name of the North Carolina Registered Agent on the blank line available.

Step 5 – In Article 4, locate the line labeled “Number and Street.” Here, report the Building Number, Street, and Unit Number (if applicable) where the North Carolina Registered Agent will be found. This must be a Physical Address and may not contain a P.O. Box Number.

Step 6 – In Article 4, locate the lines labeled “City,” “Zip Code,” and “County” then report the City, Zip Code, and County where the North Carolina Registered Agent is located.

Step 7 – If the North Carolina Registered Agent does have a separate Mailing Address that differs from the Physical Address, this will need to be reported as well. You may being with the line in Article 5 labeled “Number and Street.” Enter the Building Number, Street, Unit Number/PO Number where the North Carolina Registered Agent receives his/her/its mail. Then use the blank lines designated “City,” “Zip Code,” and “County” to report the City, Zip Code, and County of the Registered Agent’s Mailing Address.

Step 8 – In Article 6, indicate the Limited Liability Company has a Principal Office by placing a check mark in Article 6a if the Limited Liability Company being formed has a Principal Office Address or a check mark in the check box in Article 6b if the Limited Liability Company does not have a Principal Office. If so, then report the Telephone Number where the Principal Office may be reached on the first blank line. On the second blank line, report the Principal Office Building Number, Street, and any applicable Unit Number. The last blank line on this page are provided to report the City, State, Zip Code, and County of the Limited Liability Company Principal Office Address. If you are reporting a Principal Office Address proceed to the next step, if not then proceed to Step 10.

Step 9 – The first blank line on the second page will allow a report on the Principal Office Mailing Address, if it differs from that of the Physical Address. Begin by entering the Building Number, Street, and Unit Number of the Limited Liability Company Principal Office Mailing Address. On the next line you may report City, State, Zip Code, and County of this Mailing Address.

Step 10 – Article 7 will allow for any additional provisions, conditions, or supporting documents that must be attached to fulfill the entities requirements for its own formation to be attached.

Step 11 – In Article 8 you will have the option of providing a Roster of the Officials governing the Limited Liability Company. This may be useful or even required by some financial institutions. If you wish to provide this Roster make sure it is complete. There will be a table with enough lines to provide the Name, Title, and Business Address of such entities (i.e. Managers, Directors, Officers, etc.). If there is not enough room, you may continue it on an attachment.

Step 12 – Article 9 may be considered optional. If you would like to receive Official Notices by email from the North Carolina Secretary of State then enter a reliable E-mail Address where the Limited Liability Company may be reached on the blank line provided.

Step 13 – Article 10 will also be optional. If you would like the effect of a successful filing to occur immediately on the North Carolina Secretary of State’s approval and filing of this form then leave Article 10 blank. If you would like to name a specific Date and Time when this filing should take effect, then enter any Date/Time between the Filing Date and 90 days past the Filing Date.

Step 14 – Next the Organizers of this Limited Liability Company must Sign and Date this form. On the line beginning with the phrase “This is the,” use the blank spaces provided to report the Calendar Date, Month, and Year this document is being Signed. Then, on the blank line above the word “Signature,” the Organizer must Sign his or her Name. Each Organizer must also Print his or her Name below the Signature provided.

Step 15 – Once you have gathered all the documents that must be attached to the completed North Carolina Limited Liability Company Articles of Organization, you may submit it by Mail or by PDF to the North Carolina Secretary of State. Step 16 – Limited Liability Companies operating in the State of North Carolina must file a North Carolina Annual Report to the North Carolina Secretary of State Corporations Division by April 15, every year. This will require a payment of $200.00 for the Filing Fee.
