Form a Domestic Limited Liability Company in Montana – Articles of Organization for Domestic Limited Liability Company (Form 19A)

The Montana Articles of Organization for Domestic Limited Liability Company (Form 19A) is required by the Montana Secretary of all Domestic Limited Liability Companies seeking to form and register in the State of Montana. It is worth noting this form may also be used to register a Professional Limited Liability Company as well, provided you fill in the correct information and more than half of the members are licensed to practice the professional services being rendered.

This must be submitted by mail with payment of the $70.00 Filing Fee. Typically processing such paperwork will take the Montana Secretary of State ten business days to process however you may expedite this processing time for a small fee. You may expedite this filing to 24 Hour Priority Handling for an additional $20.00 or you may expedite this filing to One Hour Expedite Handling for an additional $100.00. Expediting is optional and not required however, if you do choose to expedite this filing, you must write the Service Requested on the envelope being mailed in (i.e. “24 Hour Expediting”). The Montana Secretary of State will require a payment of the Filing Fee plus all applicable fees in the form of a check payable to “Secretary of State.”

You will receive a Filed Stamped Copy of the Missouri Articles of Organization for Domestic Limited Liability Company (Form 19A) upon a successful filing.

Step 1 – Select the link labeled “Download Form.” This is a PDF file and may have information on-screen provided that you have a PDF program or PDF form friendly browser. In the absence of such software, you may print this form and enter the information with a type writer.

Step 2 – In the upper right hand corner of this form locate the words “Required Filing Fee: $70.00. Normally it will take ten days from receipt for the Montana Secretary of State to process this paperwork, however if you wish, you may choose one of these check boxes to expedite the process time. If you would like to Expedite to 24 hour processing, check the first box. You will need to include an additional $20.00 with the filing fee. If you would like to expedite to One Hour processing, select the second check box and make sure to pay the additional $100.00 Expediting Fee with the the Filing Fee.

Step 3 – Next, you will need to define the type of Limited Liability Company filing this paperwork. Just above the first item, select “Limited Liability Company” if this is a standard Limited Liability Company. If the Limited Liability Company is a Professional Limited Liability Company, then check the second box.

Step 4 – Locate the First Article requires you to enter the Full Name of the Limited Liability Company being registered with this form. Make sure it includes the appropriate Business Designator.

Step 5 – In the Second Article, indicate if the forming Limited Liability Company intends to operate perpetually or only for a certain period of time then dissolve. If the forming Limited Liability Company intends to operate indefinitely place a mark in the first check box. If the forming Limited Liability Company will Dissolve on a specific Date then mark the second check box and enter the Dissolution Date on the blank line.

Step 6 – Locate the Third Article. Enter the Mailing Address of the Limited Liability Company’s Principal Office on the blank lines provided. Use the first blank line to enter the Street Address, then use the next three blank spaces to enter the City, State, and Zip Code.

Step 7 – In the Fourth Article, you will need to document the Identity of the Montana Registered Agent obtained by the forming Limited Liability Comapny. If you have obtained a Commercial Montana Registered Agent, then enter the Full Name of the Commercial Registered Agent on the first blank line labeled “Name.” If the Limited Liability company obtained a Noncommerical Montana Registered Agent, then skip the first line and enter the Full Name of the Noncommercial Registered Agent on the second blank line labeled “Name.” Below this you must enter the Actual Address of the Noncommercial Registered Agent on the blank lines below the words “Actual Street Address.” Do not use a Mailing Address. If the Registered Agent has a separate Mailing Address go to the next section in this Article and enter the Mailing Address on the blank lines under the words “And, a mailing address…”

Step 8 – If the forming Limited Liability Company is Manager-managed place a mark in the first check mark in the Fifth Article. If the forming Limited Liability Company is Member-Managed then place a mark in the second check box.

Step 9 – In the Sixth Article, the Names and Business Address of the Managers or Members of the forming Limited Liability Company in the spaces provided. This must be a complete Roster and three separate lines are provided for this purpose. If there are more than three Managers or Members controlling this Limited Liability Company, continue the Roster on a separate document and include it with the submission package.

Step 10 – The Seventh Article will require that a Full Listing of any Members or Managers repsonsible for the Limited Liability Company’s debts and obligations be listed on a separate document and attached. In addition to this, each Member or Manager assuming such liability must provide a Letter of Consent stating as much with this form.

Step 11 – If the forming Limited Liability Company is a Professional Limited Liability Company then you must report the Professional Service(s) being rendered on the blank line provided in the Eighth Article. Otherwise, you may leave this article blank.

Step 12 – The Ninth Article requires the Signature of at least one Organizer. This should be placed on the first blank line (labeled “Signature of Organizer”). On the second blank space the Signature Party must provide the Date the Signing occurred. Next, on the second blank line, the Signature Party must Print his or her Name in the blank space labeled “Printed Name.” Beside this the Signature Party must report his or her Title on the last blank space.

Step 13 – The Tenth Article requires that a Daytime Contact Phone Number and Email Address the Montana Secretary of State may use regarding these articles be furnished.

Step 14 – When you have supplied all the information required by the Montana Articles of Organization for a Domestic Limited Liability Company  (Form 19A) and made sure all necessary attachments are present and accounted for, you may submit this filing directly to the Montana Secretary of State by mail. This will require that a check, payable to “Secretary of State,” be included for the Filing Fee amount ($70.00) plus all applicable fees.
