How to Form an LLC in Mississippi – MS Secretary of State

The Mississippi Limited Liability Certificate of Formation is an online form which provides the Mississippi Secretary of State with the information required to register a Mississippi Limited Liability Company of any kind. If the filing entity is a foreign Limited Liability Company it will have to apply for a Certificate of Authority by filling out the appropriate online forms. All forms must be filled out online but may be printed and submitted by mail or submitted online. The Filing Fee for this will range from $50.00 for a domestic Limited Liability Company plus $250.00 for a foreign Limited Liability Company. Some additional fees may apply (i.e. foreign Limited Liability Companies are required to submit an "Application for Appointment of Registered Agent of a Foreign LLC" which bears a $25.00 Filing Fee). If you print thse documents and mail in your filing the check must be payable to "Secretary of State." How to Form

Step 1 – Decide upon the Name you wish the forming Limited Liability Company to be known as and operate under in the eyes of Mississippi. This Name must be unique in that no other entity has already claimed it. Mississippi will also require you to make sure the Limited Liability Company has incorporated a Business Designator in the Name (i.e. “Limited Liability Company,” “Professional Limited Liability Company,” “LLC,” etc.). In an effort to secure a uniqure Name, you may check the Mississippi Secretary of State Business Records for the Name you wish to use here: https://corp.sos.ms.gov/corp/portal/c/page/corpBusinessIdSearch/portal.aspx?#clear=1. You may reserve a Name while you organize the necessary paperwork. This will require you obtain a password here: https://corp.sos.ms.gov/corp/portal/c/page/login/portal.aspx.

Step 2 – You will need to be informed regarding the Limited Liability Company formation and registration process in the State of Mississippi. Everything from deciding how the Limited Liability Company will file its taxes, who will run it, and obtaining a Mississippi Registered Agent will be only a few avenues that must be pursued. Organizers are encouraged to seek professional advice from an appropriate party (i.e. a Mississippi Attorney).

Step 3 – After all the preliminary steps in formation have been achieved, you may officially form and register the Limited Liability Company in the State of Mississippi by submitting a Mississippi Limited Liability Company Certificate of Formation. This may only be filled out online however, you may print it and mail it if it is desired. The Address appropriate to your area will be provided. The Filing Fee is $50.00. If you mail in the submission, this must be paid with a check made out to Mississippi Secretary of State. If filing online, you may use an ACH account, credit card, or e-check.

After Formation

Structure: Limited Liability Companies will often hold Organizational Meetings discussing various aspects of its operations. Here, Operational Agreements may be set. Maintenance: All Limited Liability Companies operating in the State of Mississippi are expected to file an Annual Report by April 15. Filing the Annual Report is free for a domestic Limited Liability Company, however the Filing Fee for a foreign Limited Liability Company will be $250.00.
