The Missouri Limited Liability Company Articles of Organization is a requirement of the Missouri Secretary of State and may be filed either by mail or online. The Missouri Secretary of State requires that all Limited Liability Companies register so they may be permitted to operate in the State of Missouri as such. Limited Liability Companies formed outside of this state but wish to operate within Missouri State lines are considered foreign Limited Liability Companies. These foreign entities will also need to register, though they must submit the Missouri Application for Registration of a Foreign Limited Liability Company. These forms will each require fees and this may vary depending upon the method of filing as well. The Filing Fee may be paid for online with a credit card or e-check or by check (payable to "Secretary of State") and is $105.00 for either filing.

How to Form

Step 1 – All Limited Liability Companies in the State of Missouri must have a unique Name on the record books. Give the Limited Liability Company that will be doing business a uniqe Name. Make sure the Name incorporates the use of a business suffix appropriate for the entity type. For instance, “Limited Liability Company” or an accepted abbreviation. A good preacution to take when you have thought of a Name is to check the Missouri Business Entity Search tool here: https://bsd.sos.mo.gov/BusinessEntity/BESearch.aspx?SearchType=0. If you wish you may reserve a Name by submitting the Missouri Application for Reservation of Name. The filing fee for this form is $25.00. It is important to note that one is not required to reserve a Name when forming a Limited Liability Company. The act of Registration will solidify the chosen Name (if it is available).

Step 2 – Next several steps will need to be taken for the proper formation and registration of the Limited Liability Company being created. Issues ranging from how the entity will file its taxes to who will manage the Limited Liability Company will need to be dealt with. Additionally, there are some very concrete requirements that must be fulfilled. For instance, a Limited Liability Company operating in the State of Missouri must maintain a Missouri Registered Agent. This is the party to whom official state notices and court actions aimed at the Limited Liability Company will be received by.

Step 3 – When you have finished all the necessary steps in the initial formation of a Limited Liability Company and the preliminary requirements for registering a Limited Liability Company, you may submit your registration to the Missouri Secretary of State using the Missouri Limited Liability Company Articles of Organization or the Missouri Application for Registration of a Foreign Limited Liability Company. This may be done by mail or online for a minimum Filing Fee of $105.00. If you file online, you will need to pay with a check payable to “Secretary of State.” You may pay with a credit card or e-check when filing online but there will be a slight convenience fee and you will need to obtain a login here: https://bsd.sos.mo.gov/loginwelcome.aspx?lobID=1.

After Formation

Structure: If the newly registered Limited Liability Company has not already held an Organizational Meeting and/or set up Operational Agreements, then it is strongly recommended to complete both these tasks. While neither are a requirement of the State of Missouri, both will contribute to preventing future misunderstandings.

EIN: The Entity Identification Number or EIN is the Number the Internal Revenue Service assigns to certain entities for tax identification purposes. Not all Limited Liability Companies will be required to obtain one however some, such as those with employees, will be required. For more information, contact the Internal Revenue Service directly.

Maintenance: Make sure you remain in compliance with all requirements governing bodies place upon a Missouri Limited Liability Company. While the Missouri Secretary of State does not require an Annual Report (as most states do), you will still need to make sure that all business licenses are up to date and that you are in compliance with other entities (such as the Missouri Department of Revenue). Keep up to date with all paperwork with all governing bodies on the local, state, and federal levels.
