Step 1 – Once you have decided to form a Limited Liability Company in the State of Minnesota, it will be important to make sure it bears a distinguishable Name with an appropriate Business Designator (such as “LLC,” “PLLC,” or something equally appropriate. Generally, it is a good idea to make sure the Name is unique by checking the Minnesota Business Filings Database (https://mblsportal.sos.state.mn.us/Business/Search) for any entities already bearing the Name you wish to give the Limited Liability Company. You may reserve this Name by submitting Name Reservation | Request for Reservation of Name for a minimum Filing Fee of $35.00. Reserving a Name is optional and not required to register the formation of your Limited Liability Company.

Step 2 – There will be several decisions to be made and preliminary requirements to be fulfilled in order to form and register a Limited Liability Company in the State of Minnesota. Organizers and foreign Limited Liability Companies interested in forming and registering a Minnesota Limited Liability Company are encouraged to seek legal advice while doing so. This will aid in such decision making as finding an appropriate Registered Agent.

Step 3 – When you have completed all the necessary steps in forming the structure and purpose of your Limited Liability Company, you will need to submit the appropriate form to the Minnesota Secretary of State. After Formation

Structure: You will need to solidify the structure of the Limited Liability Company by holding Organizational Meetings and developing Operational Agreements. This level of efficiency may help the Members and Managers of the Limited Liability Company avoid complicated situations resulting from confusion or disagreement.

EIN: The Internal Revenue Service will assign Entity Identification Numbers to certain Limited Liability Companies depending upon the type and structure. For instance, a Limited Liability Company that files as a c-corporation or an s-corporation will need to apply and gain an Entity Identification Number. Contact the Internal Revenue Service to make sure you are in compliance with tax regulations applying to the newly formed Limited Liability Company.

Maintenance: The Minnesota Secretary of State will require that all Limited Liability Companies stay in compliance by submitting an Annual Report once a year by December 31.
