The Michigan Articles of Organization Domestic Professional Limited Liability Company (Form CSCL/CD-701) is the template form required by the Michigan Department of Licensing and Regulatory Affairs for registering the organizer of Limited Liability Companies whose purpose is to provide a specific Professional Service. The term Professional Service refers to specifically licensed professions (i.e. attorney-at-law, clergy, dentist, osteopathic physician, physician, surgeon). Step 1 – Select the link labeled “Download Form” to obtain a blank Michigan Articles of Organization Domestic Professional Limited Liability Company PDF file. Step 2 – Locate the box with the word “Name.” In this box, document where the Michigan Department of Licensing and Regulatory Affairs should mail the materials from this filing back. There will be three lines for this purpose. In the first, labeled “Name,” enter the Name of the recipient. On the line labeled “Address,” report the Mailing Address where materials should be sent. Step 3 – Locate Article I. In the space provided, document the Full Name of the Professional Limited Liability Company being formed. This must be a Name that no other Michigan entity uses or (in some cases) used. Also, the Name must contain a business designator such as “Professional Limited Liability Company,” “PLLC,” “P.L.L.C.,” or a generally acceptable abbreviation.

Step 4 – In Article II, you must document the forming Professional Limited Liability Company’s Purpose. This must conform to the Michigan Limited Liability Company Act.

Step 5 – Article III may be filled out if the forming Professional Limited Liability Company intends to dissolve. If so, indicate how long the Professional Limited Liability Company intends to conduct business and remain active. If the forming Professional Limited Liability Company does not intend to dissolve, you may leave this article blank or you may enter the word “Perpetual” on the blank line provided.

Step 6 – Article IV will require the Identity and Location of the Michigan Resident Agent. In the first item, report the Full Name of the Michigan Resident Agent on the blank line provided. In Item 2, you will need to document the “Street Address,” “City,” and “Zip Code” of the Michigan Resident Agent’s Registered Office. This must be an Address where the Michigan Resident Agent may be physically found and may not contain a P.O. Box. If the Michigan Resident Agent’s Registered Office has a Mailing Address that differs from the Address of the Physical Location, then report the Mailing Address on the blank line in Item 3. You must fill in Items 1 and 2, however if there is no separate Mailing Address, you may leave Item 3 blank.

Step 7 – Article V will bind the Members, Managers, and forming Professional Limited Liability Company to Section 904 of P.A. 23 of 1993. Make sure you are familiar with this statute.

Step 8 – You may include any additional Provisions that have not been included provided they are compliant with Michigan State Law. If there is not enough room you may report these provisions on a separate document, cite the title in the space provided, and attach the document to the articles.

Step 9 – Next, you will need to verify the filing of this document is intentional and approved by the forming entity. At least one Organizer will need to Signature and Print his or her Name as well as provide a Date for the Signature. On the line after the words “Signed this,” enter the Calendar Day of the month this form is being Signed. Then following the words “day of” report the Month and Year of Signing. On the blank line labeled “Signature(s) of Organizer(s),” at least one Organizer must Sign his or her Name. On the line labeled “Type or Print Name(s) of Organizer(s)” the Signing Party must Type or Print his or her Full Name.

Step 10 – The top of the next page will have two blank lines requiring attention. On the blank line labeled “Preparer’s Name,” report the Full Name of the individual supplying the Filing Fee payment. Then on the blank line labeled “Business telephone number,” enter the Daytime Phone Number for this party or entity.

Step 11 – Now that all the articles in the Michigan Articles of Organization Domestic Professional Limited Liability Company (CSCL/CD-701) have been satisfied make sure that all the information is correct and that all the necessary attachments have been included in an organized package. In addition to the Michigan Domestic Articles of Organization Professional Limited Liability Company (CSCL/CD-701), you must remit payment for the $50.00 Filing Fee. Step 12 – Professional Limited Liability Companies will be expected to file an Annual Report called the BCS/CD-2700 once year by February 15, beginning with the year after formation (unless registered after September 30) to the Michigan Department of Licensing and Regulatory Affairs. The Professional Limited Liability Company will receive a pre-printed annual report for this purpose.
