Form a Domestic Limited Liability Company in Michigan – Articles of Organization Domestic Limited Liability Company (Form CSCL/CD-700)

The Michigan Articles of Organization Domestic Limited Liability Company (Form CSCL/CD-700) is the template form provided by the Michigan Department of Licensing and Regulatory Affairs. As per the Michigan Limited Liability Company Act, certain pieces of information must be provided to the State of Michigan via LARA. This may not be all the information required for every company but does give a guide for the minimum requirements of the Michigan Limited Liability Company.

The Michigan Articles of Organization Domestic Limited Liability Company will carry a Filing Fee of $50.00. You may order expedited service with Form CSCL/CD-272. Twenty-four hour expediting is available for an additional $50.00 Expediting Fee. Same Day service is available for an additional $100.00 Expediting Fee. Two-hour expediting is available for an additional $500.00 Expediting Fee. One-hour service is available for an additional $1000.00 Expediting Fee. All fees are payable with a check made out to “State of Michigan.” If you have a MICH-ELF account with up to date information you may submit your filing via Email. Step 1 – Download the Michigan Articles of Organization Domestic Limited Liability Company (Form CSCL/CD 700) by selecting the link labeled “Download Form.” This will make the template form available for download as a PDF file. You will need to fill in this information with either a PDF program or a PDF form friendly web browser. The information you supply must be legible, thus you must print this form and use a typewriter to enter this information.

Step 2 – Locate the box near the upper left hand corner with the labels “Name,” “Address,” “City,” “State,” and “Zip Code.” Use these lines to inform the Michigan Department of Licensing and Regulatory Affairs where to send return the filed information. Use the line marked “Name” to report the Recipient Mail and the areas labeled “Address,” “City,” “State,” and “Zip Code” where the materials should be returned.

Step 3 – In Article I, enter the Full Name of the Limited Liability Company being formed. This must be an unused Name (by any other entity) with an appropriate business designator (such as L.L.C., LLC, Limited Liability Company, etc.).

Step 4 – In Article II, fill in the Purpose for the creation of this Limited Liability Company. This may be a general purpose allowed under the Michigan Limited Liability Company Act or it may be something more specific.

Step 5 – Article III requires that you either define the lifespan of the Limited Liability Company by entering how long until it dissolves or to type in the word “perpetual” to indicate this entity has no intention of dissolving.

Step 6 – Article IV will require attention in at least two areas. In Item 1, enter the Full Name of the Michigan Resident Agent the forming Limited Liability Company has named as the recipient of official court actions (i.e. Service of Process) on its behalf. Then, in Item 2, enter the Physical Street Address of the Michigan Resident Agent by entering the Street Address, City, and Zip Code in their appropriate areas. Do not use a Mailing Address such as a P.O. Box in Item 2. If the Michigan Resident Agent receives Mail at an address that differs from the Registered Office, then report the Mailing Address in Item 3. If there is no Mailing Address you may leave Item 3 blank.

Step 7 – In Article V you may include any Provisions required for the Limited Liability Company to properly register with the Michigan Department of Licensing and Regulatory Affairs. If there is not enough room, you may cite an attachment with these provisions.

Step 8 – The final area of this page will be marked by the words “Signed this.” On the blank line following these words, report the Calendar Day of the month these articles are being signed. Then, on the blank line following the words “day of,” enter the Month and the Year this document is being signed.

Step 9 – On the blank line following the word “By,” at least one Organizer must Sign his or her Name. On the line below this, each Signature Party must print his or her Name.

Step 10 – On the second page, report the Full Name and Business Telephone Number of the Preparer. The line labeled “Preparer’s Name” requires the Name of the Individual or Entity who is providing the Filing Fee payment required. The line labeled “Business telephone number,” requires the Preparer’s Office Telephone Number.

Step 11 – Make sure the Michigan Articles of Organization Domestic Limited Liability Company have been filled out in a perfectly legible manner and that all the necessary attachments are present. You must also provide a payment of $50.00 to the Michigan Department of Licensing and Regulatory Affairs. If you are mailing this package in, you must pay with a check or money order that is payable to “State of Michigan.” If you are submitting this package in person, you may pay with a check, money order, Visa, or MasterCard. You may only email this filing and its attachments if you have an active MICH-ELF account with up to date account information to be used as payment. The Filing Fee is the minimum payment that must be received. If you have requested Expedited Service, the payment for the service must be added to the Filing Fee.

Step 12 – The Michigan Department of Licensing and Regulatory Affairs will mail the newly registered Limited Liability Company a pre-printed document titled “BCS/CD-2700.” The Limited Liability Company must file this before February 15, it if has registered before September 30. Limited Liability Companies must file this annual report once a year by February 15 in order remain in compliance with the Michigan Department of Licensing and Regulatory Affairs regulations. If desired, the Michigan Annual Report may also be filed online (http://www.michigan.gov/lara/0,4601,7-154-61343_35413_35432-136482–,00.html) A Filing Fee of $25.00 will be assessed at the time of submission for this filing.
