How to Form

Step 1 – You must name the Limited Liability Company you are forming in the State of Michigan. Foreign entities will not need to think of a Name unless another entity in Michigan already bears the Name of the foreign Limited Liability Company. Each Limited Liability Company in the State of Michigan will need to have a unique and easily distinguishable Name and must have the appropriate busines suffix or a reasonable abbreviation (i.e. “Limited Liability Company,” “Professional Limited Liability Company.” Generally it is a good idea to take every measure possible in confirming a Name is not in use by another entity. You may do so by checking the Michigan Department of Licensing and Regulatory Affairs Corporations Division Business Entity Search page (http://www.dleg.state.mi.us/bcs_corp/sr_corp.asp). If you wish to reserve a Name that seems available, you may do so by submitting a Michigan Application for Reservation of Name.

Step 2 – Next the filing entity will need to fulfill the requirements set up by the State of Michigan and other governing bodies for the specific type of Limited Liability Company being formed. Amongst them will be to decide such things as how the entity will be taxed and obtaining a Michigan Registered Agent. Make sure you are fully aware of the requirements the type of Limited Liability Company must fulfill in order to properly register.

Step 3 – Next you will need to register the formation of the Limited Liability Company’s intent to operate as such with the Michigan Department of Licensing and Regulatory Affairs (LARA). This will require some information to be presented on the Michigan Articles of Organization Domestic Limited Liability Company and a payment of the $50.00 (Filing Fee). You may file in person, by mail, or by email. It should be noted you may only file by email if you have a MICH-ELF account (Michigan Electronic Filing System) that is up to date with your credit card information.

After Formation

Structure: Shortly after the formation of the Limited Liability Company has been formed, the decision makers of the entity (Manager, Members, etc.) are encouraged to hold Organizational Meetings and set up Operational Agreements. This simple precaution may help prevent future misunderstandings from having unfortunate effects.

EIN: The Entity Identification Number sometimes referred to as the Federal Entity Identiy Number is assigned by the Internal Revenue Service for taxation purposes. Certain types of Limited Liability Companies will need to obtain one. For instance those with more than one member or with employees.

Maintenance: In order to maintain the active status of the Limited Liability Company, an Annual Report must be submitted to the Michigan Department of Licensing and Regulatory Affairs. Typically a pre-printed BCS/CD-2700 will be mailed to the Resident Agent around three months before it is due. Limited Liability Companies may also file online (http://www.michigan.gov/lara/0,4601,7-154-61343_35413_35432-136482–,00.html). New entities formed before before September 30, must file an Annual Report by February 15. Those who have registered on or after September 30, may wait the next year. All Limited Liability Companies must file an Annual Report by February 15. The Filing Fee for this will be $25.00.
