Form a Domestic Limited Liability Company in Maine – Limited Liability Company Certificate of Formation (Form MLLC-6)

The Maine Limited Liability Company Certificate of Formation (Form MLLC-6) must be submitted to the Maine Secretary of State, Division of Corporations, UCC and Commissions so an entity may form as a Limited Liability Company in compliance Main Revised Statutes Title 31, Chapter 21 Limited Liability Companies. This will require that facts such as the Identity and Location of the Limited Liability Company and its Maine Resident Agent be documented. Also, you will need to define the Members, Managers, and Lifespan of the forming Limited Liability Company. This form will require this and a few other items to be presented but, represents the minimum reporting requirements for a Maine Certificate of Formation.

The Filing Fee for the Maine Limited Liability Company Certificate of Formation (Form MLLC-6) is $175.00. This is payable with a check made out to “Maine Secretary of State” or with a credit card. If paying with a credit card you must include a Credit Card Payment Voucher form. This submission will generally take five to ten business days to complete from receipt. Special handling is availabel, for instance you may elect to have the completed package held for pick up, you may expedit the filing to 24 hours (for an additional $50.00 Expediting Fee), or you may choose to opt for Immediate Service (for an additional $100.00 Expediting Fee). Step 2 – In the First Article, use the blank line provided to document the Full Name of the Limited Liability Company being formed by this form.

Step 3 – In the Second Article, define the Effective Date of a successful filing of this document. Step 4 – The Third Article will contain a check box that must only be marked if the forming Limited Liability Company. Checking this box will bind the forming Limited Liability Company to the Purpose and Activities of a Low Profit Limited Liability Company in Maine as defined in this article. Read these paragraphs carefully, if the forming Limited Liability Company is a Low Profit Limited Liability Company then place a mark in the check box provided.

Step 5 – The Fourth Article should only be addressed if the forming Limited Liability Company is a Professional Limited Liability Company then place a mark in the check box provided then on the blank line, enter the Professional Services that will be provided.

Step 6 – In the Fifth Article, the Maine Registered Agent obtained by the forming Limited Liability Company must be reported and documented. If the Limited Liability Company obtained a Commercial Registered Agent, then mark the first check box, enter the Maine Registered Agent’s CRA Public Number on the first blank space, and report the Full name of the Commercial Registered Agent obtained on the blank line labeled “Name of commercial registered agent.” If the Limited Liability Company obtained a Noncommercial Maine Registered Agent then place a mark in the second box and fill in the required information. If you have obtained Noncommercial Registered Agent then enter the Full Name of the Noncommercial Registered Agent on the blank line labeled “Name of noncommercial registered agent.” Below this, enter the Address of the Noncommercial Registered Agent’s Physcial Location (Building Number, Street, Unit Number, City, State, and Zip Code). If the Noncommercial Registered Agent has a separate Mailing Address to be reported, you may do so on the blank line labeled “mailing address if different from above.”

Step 7 – The Sixth Article will bind you to verifying the forming Limited Liability Company has obtained consent from the Registered Agent to act as such and fulfill the responsibilities of that role.

Step 8 – Next, in the Seventh Article, report any attachements that are submitted with these articles on the blank line following the words “Exhibit.” Note: Title any such provisions or attachments a number or letter such as 1-10 or A-Z.

Step 9 – The end of this document will require that an Authorized Person such as the Organizer of the Limited Liability Company Date and Sign the completed Maine Limited Liability Company Certificate of Formation. The Signature Party must first enter the Date on the blank line, labeled “Date,” on the right then, Sign his or her Name on the blank line labeled “Signature of authorized person.” On the blank line to the right of this the Signature Party must Type or Print his or her full Name.

Step 10 – Next you will need to fill out the Filer Contact Cover Letter included with this package. This will provide some basic information to the Maine Secretary of State. In the first area, enter the Name of the Entity or Entities filing this the Maine Limited Liability Certificate of Formation. On the blank lines below the words “List type of filing(s) enclosed,” enter the title of all filings. Make sure “Maine Limited Liability Certificate of Formation” is entered here.

Step 11 – Under the words “Special handling requests,” indicate how you would like the Maine Secretary of State should handle your request. If you would like to arrange a pick up of the completed materials the Maine Secretary of States would normally send in response to this filing then check the box labeled “Hold for pick up.” If you would like to expedite the filing to 24 hour processing, check the box labeled “Expedited filing – 24 hour service…” If you would like to expedite the filing for Immediate Service then select the box labeld “Expedited filing – Immediate service.” Holding a package will have no fee however, if you expedite to 24 hour or Immediate processing you must pay an additional expediting fee of $50.00 or $100.00 respectively. Step 12 – Make sure all documents that need to accompany the Maine Limited Liability Company Certificate of Formation have been organized into a package.
