How to Form a Domestic Limited Liability Company in Maryland – Limited Liability Company Articles of Organization

The Maryland Limited Liability Company Articles of Organization is a template form provided by the Maryland Department of Assessment and Taxation. This template form organizes the minimum amount of information that must be submitted when it is time to register the formation of a Limited Liability Company with the State of Maryland Department of Assessments and Taxation. You may add additional provisions however all the information requested on this form must be supplied. You may file this document and any attachments by in person, by mail, or online. Regardless of the method of filing, payment of a $100.00 Filing Fee will be expected at the time of submission. Certified Copies may be mailed back with your materials for an additional payment of $20.00 (plus $1.00 for each additional page). If you wish a Certificate of Status to be returned with the filed Certificate of Organization, this may be done upon request as well for an additional fee of $20.00. If you are filing by mail, you will need to pay with a check whereas if you file online you must use a credit card. When using a check to pay all applicable fees, make sure it is payable to “Department of Assessments and Taxation.”

Normally it will take four to six weeks to process this paperwork however, expedited processing is available upon request provided payment for the $50.00 Expediting Fee is included with all other payments. This will expedite the filing to seven days. Online filings are automatically considered Expedited. Hand delivered documents may receive same day attention provided the filer is in line no later then 4:15 p.m.

How To File Online

 

Step 1 – Open the Maryland Business Express Log In page by clicking here: https://egov.maryland.gov/businessexpress. Enter your User Name in the field labeled “Username” then your password in the field labeled “Password.” When you are ready, click on the button labeled “Log In.”

Step 2 – From your Account Home Page, locate the link labeled “Create a New Business Filing.”

Step 3 – Locate the radio button labeled “Limited Liability Company.” When you are ready, select the button labeled “Continue.”

Step 4 – Next, you will have the option of uploading your own Maryland Limited Liability Company Articles of Organization or use the online wizard. For our purposes, select the radio button labeled “I will use the online forms.” When you are ready, click on the button labeled “Continue.”

Step 5 – Locate the area labeled “Business Name.” In the similarly titled field, enter the Full Name of the Limited Liability Company being registered. Do not physically enter the business suffix you wish to use. Rather, select the desired Business Suffix from the drop down list labeled “Suffix.” When you are ready select the button labeled “Continue.”

Step 6 – The blank fields labeled “Address 1” and “Address 2” are provided so that you may supply the Street Address of the Physical Location of the Maryland Principal Office. Start in “Address 1” by listing the Building Number, Street, and Unit Number where the Principal Office may be found. If there is not enough room, you may continue this to the field labeled “Address 2.” If you were able to fill in the complete Street Address in “Address 1,” you may leave “Address 2” blank.

Step 5 – In the “City” field, list the Maryland City where the Principal Office is located.

Step 6 – The next field requiring attention will be the “Zip Code” field. Here, enter the Zip Code where the Maryland Principal Office is located.

Step 7 – If the Maryland Principal Office receives its mail at a location that bears a different Address from the Physical Location Address you have just entered then select the box labeled “Check box if the mailing address is different…” and proceed to Step 8. If the Mailing Address and the Physical Address of the Maryland Principal Office is the same then, leave this box blank and proceed to Step 9.

Step 8 – If th Maryland Principal Office Mailing Address is different and you have checked the appropriate fields then several additional fields will generate on the page below the Principal Office Physical Address section. Locate the fields labeled “P.O. Box,” “Street,” “City,” “State,” and “Zip Code.” Use these fields to report the Mailing Address of the Maryland Principal Office. Note: “P.O. Box” is provided as a convenience should the Address contain a P.O. Box. Use the “Street” field to enter the Building Number, Street, and any applicable Unit Number.

Step 9 – Next, you will need to report direct Contact Information the Maryland Department of Assessment and Taxation may use in the event any questions or issues arise. Use the field labeled “Email Address.” Here, enter a current and valid Email Address where contact may be made reliably. In the field labeled “Phone,” report the Daytime Phone Number of the Contact Person that may receive inquiries or information form the Maryland Department of Assessments and Taxation.

Step 10 – The final area of this page will be a text box below the words “Describe the purpose for which this Limited Liability Company is being filed.” Here, document how the Limited Liability Company will behave or conduct its business in the State of Maryland. When you are ready, select the button labeled “Continue.”

 

Step 11 – The next screen will require some Identification regarding the Limited Liability Company’s Resident Agent. Every Limited Liability Company operating in the State of Maryland must have a Resident Agent. This is the party who shall receive Service of Process on behalf of the Limited Liability Company. First, locate the field labeled “Resident Agent is” and select the entity type that best fits the Limited Liability Company’s Resident Agent. You may choose “An Individual,” “A Maryland Corporation,” or “A Maryland LLC.” This will generate the appropriate fields to document the identity of the Maryland Resident Agent. For our purposes, select “An Individual,” then enter the First Name of the Resident Agent in the “First Name” field and the Last Name of the Resident Agent in the “Last Name” field.

Step 12 – The next set of fields, “Address 1,” “Address 2,” “City,” “State,” and “Zip Code” will require the Physical Address where the Resident Agent will be found. Use these fields to report this information. “Address 2” may be considered optional and is provided as a matter of convenience. When you are ready, select the button labeled “Continue.”

Step 13 – Now you will have the opportunity to review all the information you have entered on the previous screens. Each area will have the appropriate page title as a heading along with an “Edit” button. You may use the “Edit” button to navigate to that area should any corrections need to be made. Once all the information has been verified as correct, select the button labeled “Proceed to Certification.”

Step 14 – This page will require the Electronic Signature of an Authorized Representative of the forming Limited Liability Company as well as the Limited Liability Company’s Resident Agent. To Begin, locate the section labeled “Authorized Person(s).” Here, at least one individual who may Sign this form to solidify it with the Maryland Department of Assessments and Taxation. In order to provide the Signature the Authorized Representative must Type his or her Name in the field labeled “Name” then check the box labeled “By checking this box I certify…”

 

Step 15 – The next area, labeled “Resident Agent,” the Limited Liability Company’s Resident Agent listed in this section must physically click the box labeled “By checking this box I certify that I am the Resident Agent…”

Step 16 – The area labeled “Filing Party,” requires a definition to the party who is submitting this form. First, select the Title of this individual by selecting the appropriate choice from the box labeled “Title” (i.e. Officer, Director, Attorney, Member, etc.).

Step 17 – Use the “First Name” and “Last Name” fields to report the Full Name of the individual submitting this form.

Step 18 – Use the fields labeled “Address 1,” “Address 2” (optional), “City,” “State,” and “Zip Code” to report the Address of the individual who is filing this online form.

Step 19 – Finally, in the area labeled “Certified Copy,” select the check box, if you would like a PDF Certified Copy of the filed Maryland Limited Liability Company Articles of Organization emailed to you for an additional charge. If not, you may leave this check box blank. When you are ready, select the button labeled “Certify and Save for Payment.”

Step 20 – Select “Proceed to Payment.” You will need to pay $100.00 as a Filing Fee, $50.00 as an Expedited Processing Fee (all online filings are expedited), and a Convenience Fee of $4.50. This is the minimum that must be paid. Make sure the funds in the credit card being used are available.

How To File By Mail

Download Form

Step 1 – Select the link above (“Download Form”). This will give you access to a Maryland Limited Liability Company Articles of Organization PDF template form. The Maryland Department of Assessments and Taxation will not accept a handwritten document thus, you must use a PDF program or form friendly browser to fill in the information. Should this type of software be unavailable you may print the blank form out then use a type writer to fill in the information.

Step 2 – Locate Article 1, this will require you enter the Full Name of the Limited Liability Company being formed by these articles. This should be a unique Name that employs one of these business suffixes: Limited Liability Company, L.L.C., LLC, L.C., or LC.

Step 3 – In Article 2, document the Purpose of the Limited Liability Company on the blank lines provided. This should include a description of how this entity will operate in the State of Maryland.

Step 4 – Article 3 requires the Maryland Address where the Limited Liability Company being formed is located. This should consist of the Building Number, Street, Unit Number (if applicable), City, State, and Zip Code.

Step 5 – In Article 4, enter the Full Name of the Maryland Resident Agent who consented to receive Service of Process on behalf of the Limited Liability Company on the blank line provided. Below this, after the words “whose address is,” report the Physical Address where the Maryland Resident Agent is located. This too, should consist of a Building Number, Street, Unit Number (if applicable), City, State, and Zip Code. Since the Maryland Resident Agent must physically be located in Maryland, you may not use a P.O. Box here.

Step 6 – An Authorized Person (Director, Member, Organizer, etc.) must provide a Signature to these articles. Locate Article 5. There is enough room for three individuals to provide a Signature here however, if more space is required you may attach a document containing such signatures.

Step 7 – In Article 6, the Maryland Resident Agent must Sign his or her Name on the blank line labeled “Resident Agent.”

Step 8 – Article 7 is the last required article. The party filing this document with the Maryland Department of Assessments and Taxation must provide a Mailing Address where the filed Maryland Limited Liability Company Articles of Organization may be delivered. This must be a valid and up to date Mailing Address.

Step 9 – When you have verified that all the information reported is correct, obtained all the required Signatures, and all attachments are present then, you may submit the Maryland Limited Liability Company Articles of Organization to the Maryland Department of Assessments and Taxation. This may be done in person or by mail. If submitting this paperwork by mail you will need to pay the $100.00 Filing Fee with a check payable to “Dept of Assessments and Taxation.”
