How to Form an LLC in Massachusetts – MA Secretary of the Commonwealth

The Commonwealth of Massachusetts Limited Liability Company Certificate of Organization (Form D) is a template form allowing forming entities to quickly submit required information to the Secretary of the Commonwealth of Massachusetts. Every Limited Liability Company in the Commonwealth of Massachusetts will be required to submit a minimum amount of information based on the type of entity it is. For instance, Professional Limited Liability Companies will need to submit a Commonwealth of Massachusetts Professional Limited Liability Company Certificate of Organization and Foreign Limited Liability Companies will need to submit a Commonwealth of Massachusetts Application for Registration. The Filing Fee for all of these documents is $500.00 which is payable upon submission. You may pay with a check if you are filing by Mail or you may pay with a credit card if filing by fax or online. If you do fax in your submission, it must be accompanied with a unique barcode on the Filing Cover Sheet Memo. This additional document may only be produced by visiting the Secretary of the Commonwealth of Massachusetts website (http://www.sec.state.ma.us/cor/functionality/faxfiling.htm). All checks addressing the filing fee must be made payable to "Commonwealth of Massachusetts."

How to Form

Step 1 – The first step in forming an entity will be to think of a Name for it. In the Commonwealth of Massachusetts this must be a Name that is not currently in use by other entities. It must also bear an appropriate suffix such as “Limited Liability Company,” “Professional Limited Liability Company,” or an generally acknowledged abbreviation. You may check to see if the Name you wish to use is currently in use by visiting the records site of the Secretary of the Commonwealth of Massachusetts (http://corp.sec.state.ma.us/corpweb/CorpSearch/CorpSearch.aspx). You may reserve a Name by submitting a Commonwealth of Massachusetts Application of Reservation of Name.

Step 2 – Next, you will need to fulfill several preliminary obligations for forming an entity of this type. Organizers will be expected to be fully abreast of the process and fulfill all such obligations. For instance, you will need to obtain a Commonwealth of Massachusetts Resident Agent. This is the individual who will receive Service of Process issued to the Limited Liability Company.

Step 3 – When you have a unique Name and have fulfilled all the preliminary requirements of forming a Limited Liability Company, you will need to submit a Commonwealth of Massachusetts Limited Liability Company Certificate of Organization (Form D), Commonwealth of Massachusetts Professional Limited Liability Company Certificate of Formation (Form P), or Commonwealth of Massachusetts Foreign Limited Liability Company Application for Registration (Form F) depending on the type of entity being registered. You may file this by fax, online, by mail, or in person. If you file by mail you may only pay the Filing Fee ($500.00) with a check payable to “Commonwealth of Massachusetts.” If you are filing online or by fax, you may only pay with a credit card. When filing by fax, you must include a Fax Cover Sheet Filing Memo. This may only be produced on the Secretary of the Commonwealth of Massachusetts here: http://www.sec.state.ma.us/cor/functionality/faxfiling.htm. This document will contain a unique bar code required for fax filings.

After Formation

Structure: Generally, forming or newly formed Limited Liability Companies to hold regular Organizational Meetings and to set up Operational Agreements covering topics ranging from Member Privileges to Interests in Real Property. These simple precautions in organization will likely aid in avoiding future misunderstandings or prevent inappropriate actions taken by Members, Managers, etc.

EIN: The Entity Identification Number may be required depending upon the circumstances of the Limited Liability Company structure, type, or actions. For instance, if the entity has any employees or will file its taxes as either a c-corporation or an s-corporation then it will need to obtain such a number. Contact the Internal Revenue Service for further information.

Maintenance: The Secretary of the Commonwealth of Massachusetts requires that all Limited Liability Companies file an Annual Report on the anniversary month of its registration. Each Limited Liability Company type will have its own information requirements however regardless of the Limited Liability Company the Filing Fee for an Annual Report is $500.00.
