The Louisiana Application For Authority To Transact Business In Louisiana must be submitted to the Commercial Division of the Louisiana Secretary of State for approval. This must be approved before the foreign Limited Liability Company seeking a Certificate of Authority may conduct business as such in the State of Louisiana. This application must be submitted with a Certificate of Existence that has been issued by the home state’s jurisdiction and dated within 90 days of the Louisiana Secretary of State’s receipt of the Louisiana Application For Authority To Transact Business In Louisiana. Submitting this application will require the full payment of an Application Fee ($125.00). You may remit payment for this fee with a check or money order that is payable to “Secretary of State” or with a credit card. Such information will be reported on the Louisiana Transmittal Information Form. You may also request the processing to be expedited to 24 hours for an additional fee of $30.00. You may request a Certified Copy of your filing for an additional $15.00 Certification Fee. However, if you would like more than one you will need to pay $20.00 for each subsequent request after the initial copy. You may file this application by mail or online. If you file online, you may only pay with a credit card. Note: The Louisiana Application for Authority to Transact Business in Louisiana must be presented as a Notarized document at the time of submission.

Step 2 – The first page of the Louisiana Application for Authority to Transact Business in Louisiana Foreign Limited Liability Company will be the Louisiana Transmittal Information Form. This will solidify such information as the type of service being requested, how it will be paid for, and who the Contact Person the Louisiana Secretary of State may use when sending material regarding this filing to the foreing applying Limited Liability Company. Step 3 – Next, locate the boxes labeled “Check or Money Order Enclosed” and “Credit Card Number.” You must define how you will pay the Application Fee and all other applicable fees. If you intend to pay with a check or money order make sure it is made out to “Secretary of State” and check the box labeled “Check or Money Order Enclosed.” If you wish to pay with a credit card, then check the box labeled “Credit Card Number,” enter the credit card number on the space provided, then enter the Expiration Date on the line labeled “Expiration Date.”

Step 4 – On the blank line labeled “Business Name,” enter the Full True Name of the applying foreign Limited Liability Company. This Name must be reported precisely as it is documented on the Certificate of Existence obtained from the home state of the applying foreign Limited Liability Company’s jurisdiction.

Step 5 – Next, on the blank line labeled “Name of person filing document,” enter the Full Name of the individual who is filing this document with the Louisiana Secretary of State. In most cases, this is the Authorized Representative who is filling out and submitting this application.

Step 6 – On the line labeled “Address,” list the Mailing Address you would like the Certificate of Authority to be mailed to.

Step 7 – On the blank line labeled “City,” “State,” and “Zip Code” enter the City, State, and Zip Code of the Mailing Address the Louisiana Secretary of State must use to send the Certificate of Authority to the applying foreign Limited Liability Company.

Step 8 – On the blank line labeled “Daytime phone number,” “Fax number,” and “Email address” report the Contact Person’s Daytime Phone Number, Fax Number, and Email Address on the space provided.

Step 9 – Locate the second page of the Louisiana Application for Authority To Transact Business in Louisiana. On the first line of this page, you must enter “Louisiana” following the words “State of.” Then, on the blank line following the words “Parish/County of,” enter the Name of the Louisiana Locality the applying foreign Limited Liability Company will be operating.

Step 10 – In the right hand corner of the Louisiana Application for Authority To Transact Business in Louisiana, you must indicate if the applying foreign Limited Liability Company is a Profit or Non-Profit company. If it is a Non-Profit Company then select the word “Non-Profit” by placing a check mark in the parenthesis next to this word. If this is a For Profit Limited Liability Company then place a mark in the parenthesis next to the word “Business.”

Step 11 – To the right of this will also be a two choices, one of which you must check. If this is the first application being submitted then place a mark in the parenthesis labeled “Original Application.” If you are submitting a corrected application to one submitted earlier, then place a mark in the parenthesis labeled “Amended Application.”

Step 12 – In Item 1, enter the Full Name of the Limited Liability Company precisely as it appears on the Certificate of Existence. If the Name is unavailable in the State of Louisiana then you must assume a Name that is unique in this state. Enter the Assumed Name with the appropriate suffix on the blank line.

Step 13 – List the Previous Name as it appears on your Certificate of Fact in Item 2.

Step 14 – In Item 3, report the Date the applying foreign Limited Liability Company was officially organized as such in its home state on the blank line labeled “Date of organization.” Then on the blank line labeled “Period of duration,” report how long the Limited Liability Company will exist for. If you leave the blank line labeled “Period of duration” blank, it will be assumed the applying foreign Limited Liability Company intends to operate indefinitely.

Step 15 – In Item 4, report the applying foreign Limited Liability Company’s Principal Office Address in the state/jurisdication where it formed and operates in.

Step 16 – In Item 5, enter the applying foreign Limited Liability Company’s Principal Business Address in the State of Louisiana. This must be a Street Address if reported. That is, it must contain a Building Number, Street, Unit Number, City, State, and Zip Code. If there is no Principal Business Address to report then you may leave this item blank.

Step 17 – In Item 7, report the Street Address of the Principal Place of Business. This must consist of a Building Number, Street, Unit Number, City, State, and Zip Code.

Step 18 – In Item 8 you will need to report the Louisiana Registered Agent’s Full Name and the Complete Address of his/her/its actual geographical location. First enter the Louisiana Registered Agent’s Full Name on the blank line provided then enter the Address of the Louisiana Registered Agent Address following this on the same line.

Step 19 – In Item 9 report the Purpose of applying for the Louisiana Certificate of Authority and operating as an Limited Liability Company in the State of Louisiana on the blank space provided. That is, report what your Limited Liability Company will do in the State of Louisiana.

Step 10 – In Item 10, list the Full Name and Address of the Members and Managers in the applying foreign Limited Liability Company on the blank lines provided. Make sure this is a full Roster of these parties.

Step 11 – Immediately below the Roster of Managers and Members, at least one Member or Manager who has been authorized to submit these articles must Sign his or her Name on the blank line labeled “To be signed by a Member/Manager.” Beside this the Signature Party must enter the Title he or she holds and the Date this document has been signed. This must be done in the presence of a Notary Public who must notarize the signing of this application.

Step 12 – Underneath the heading, “Agent’s Acceptance and Acknowledgment of Appointment,” the Louisiana Registered Agent must sign his or her Name on the blank line labeled “Registered Agent.” This must be done in the presence of a Notary Public who will Notarize this Signing.

Step 13 – The next page will be composed of two parts. The first part shall be the Limited Liability Company Initial Report while the second part is the Agent’s Affadavit and Acknowledgement of Acceptance

Step  – Next, organize all the documents that must be submitted (Louisiana Transmittal Information Form, Louisiana Application for Authority to Transact Business in Louisiana, and Certificate of Existence less than 90 days old issued by its home state), any additional attachments that may be necessary, and payment for the $125.00 Application Fee. This must either be in the form of Credit Card information on the Louisiana Transmittal Information Form or it may be in the form of a check/money order payable to “Secretary of State.” Other fees that apply must be paid for in addition to the Filing Fee. For instance, if you have chosen to Expedite the processing then you must include a payment for the $125.00 Filing Fee plus the $30.00 Expediting Fee (Total payment is $155.00). You may request a Certified Copy, in writing, for $15.00. If you order more than one Ceritfied Copy then you must include a $20.00 payment for each additional one after the initial Certified Copy requested.

Step 14 – You will need to make sure you are in compliance with Tax Laws by contacting the Louisiana Department of Revenue and/or the Internal Revenue Service (depending upon your circumstances). Make sure you keep up with all requirements of the state to remain in compliance.
