How to Form

Step 1 – Name the Louisiana Limited Liability Company you wish to form. This must be an available Name inthat no other entity currently owns or operates under it. This should include the business suffix “Limited Liability Company” or acceptable abbreviation. You may check to see if the Name you have chosen has been taken by another entity by checking the Louisiana Secretary of State site here: http://www.sos.la.gov/BusinessServices/SearchForLouisianaBusinessFilings/Pages/default.aspx. If you wish to reserve a Name, you may do so by filing a Louisiana Reservation of Corporate/Limited Liability Company/L3C/Partnership Name (Form 398)

Step 2 – Obtain a Louisiana Registered Agent. This is the individual or entity who has agreed to reliably receive Service of Process on behalf of the Limited Liability Company you are forming. All Limited Liability Companies in this state must maintain a Louisiana Registered Agent at all times.

Step 3 – When you have finished fulfilling all the preliminary requirements of forming and registering a Louisiana Limited Liability Company, you must file a Louisiana Articles of Organization Limited Liability Company to the Louisiana Secretary of State. If you are registering the presence of a foreign Limited Liability Company wishing to to operate, as such, in the State of Louisiana, you must file a Louisiana Application of Foreign Limited Liability Company. The Filing Fee for the Louisiana Articles of Organization Limited Liability Company is $100.00. The Filing Fee for the Louisiana Application of Foreign Limited Liability Company is $150.00. Both documents may be submitted by mail or online. If you are filing online, you may only pay the Filing Fee with a credit card. It should be noted that in order for these documents to be accepted they must be accompanied by Form 973 which will contain an Affidavit of Consent from the Registered Agent.

After Formation

Structure: Hold an Organizational Meeting. This will allow a venue to set up an Operational Agreement and discuss important issues regarding the Limited Liability Company’s structure and operations. This will help avoid internal disagreements due to misunderstandings.

EIN: The Entity Identification Number will need to be acquired by Limited Liability Companies in certain circumstances. For instance, if the Limited Liability Company has more than one member, employs at least one person, or files taxes as certain entity types (s-corporations or c-corporations), the new formed Limited Liability Company must obtain an Entity Identification Number from the Internal Revenue Service. There may also be some tax requirements with the locality involved. Contact the Internal Revenue Service, regarding EIN’s, and the Louisiana Department of Revenue to make sure you are compliant with all tax laws.

Maintenance: Periodically the Louisiana Secretary of State will require an Annual Report to be filed. This must happen once a year on the anniversary Date of Formation. The Louisiana Annual Report for Louisiana Limited Liability Companies may be filed online here:
