Form a Domestic Limited Liability Company in Kentucky – Kentucky Articles of Organization Limited Liability Company

The Kentucky Articles of Organization Limited Liability Company should be filled out then submitted to the Kentucky Secretary of State when an entity wishes to form as a Limited Liability Company. This provides the Kentucky Secretary of State with the information that solidifies the Identity and Location of the Limited Liability Company and its Registered Agent. This form will provide the basic information required by the Kansas Revised Statute Chapter 275.025 . You may draw up and submit your own articles if the current structure is not conducive to the Provisions you wish to include however, all the information on this form must be present.

The Filing Fee for the Kentucky Articles of Organization is $40.00. If you are mailing or delivering this form and its attachments to the Kentucky Secretary of State then you must pay with a check made payable to “Kentucky State Treasure” and the articles must be submitted in duplicate. If you are filing this form online then, you may pay with a major credit card. It should be noted that you must have a valid account with the Kentucky Secretary of State’s One Stop Portal to do this.

How To File Online

Step 1 – Sign in to your OneStop Business Account by clicking here: Kentucky OneStop Business Portal. by entering your login information then selecting the button labeled “Sign In.”

Step 2 – Select the icon labeled “Register My Business” near the top of the page.

Step 3 – You will be given a choice between “Business Registration” or “Tax Registration.” For our purposes select the icon labeled “Business Registration”

Step 4 – Next, you will need to define what kind of business you are registering. Since you are forming a domestic Limited Liability Company, select the first radio button labeled “A business that will be formed in Kentucky” then select “Limited Liability Company” from the drop down list labeled “Select Business Structure”

Step 5 – Read the Disclaimer carefully. When ready, click on the check box to the left of the Acknowledgment Paragraph then, select “Next.”

Step 6 – Now you will need to provide the Kentucky Secretary of State with the Identity and Location of the Contact Person that may be addressed in official correspondence. There will be several fields provided to this end: First Name, Middle Name (optional), Last Name, Email, and Phone Number. Make sure to fill in this information with an authorized representative of the forming Limited Liability Company who may receive such correspondence. When you are ready, select the button labeled “Add Registration Contact.”

Step 7 – Verify the choices you made regarding the Business Type and Structure being formed then select the button labeled “Next.” Make sure the radio button labeled “A business that will be formed in Kentucky” and that “Limited Liability Company” is selected in the drop down list provided.

Step 8 – Next, in the text box labeled “Business Name,” enter the Full Name you wish to give the Limited Liability Company being formed. Use the drop down list labeled “Suffix” to select the desired business status (i.e. “Limited Liability Company” or an acceptable abbreviation). Read the terms below this, then select the check box to the left of the Acknowledgment Statement. When you are ready, select the button labeled “Search.”

Step 9 – The next page will either confirm the Name is unique or require you to search again. If the Name you wish is available, select the first radio button following the question “Would you like to request this name for registering your business?” Then, select the button labeled “Next.”

Step 10 – In the drop down list following the question “Is the registered agent representing the company as an individual or business,” select either “Individual” or “Business” to indicate whether the Kentucky Registered Agent obtained by the forming Limited Liability Company is a person or a business entity. For our purposes select “Individual.” This will auto-populate the page with the necessary fields. You may click on the check box then select the Contact information from a party previously divided from the drop down list that becomes available (if applicable). Otherwise use the fields labeled “First Name,” “Middle Name,” and “Last Name” to report the Identity of the Kentucky Registered Agent. There will be an “Email” and “Phone Number” field so you may report direct contact with this party.

 

Step 11 – Use the “Attn,” “Country,” “Zip/Postal Code,” “Address 1,” “Address 2,” “City,” “State,” and “County” fields to report the Street Address of the geographical location where the Kentucky Registered Agent may be located. (This is known as the Registered Office). When you have done this, select the button labeled “Add Registered Agent.”

Step 12 – On the next screen use the “Attn,” “Country,” “Zip/Postal Code” fields to report the Contact Person for the Kentucky Secretary of State then the Country and County/Area the Limited Liability Company Principal Office Address. You may use the “Address 1” and “Address 2” fields to report the Building Number, Street, and Unit Number of the Limited Liability Company Principal Office Address. Finally, use the “City” and “State” fields to report the City and State in the Limited Liability Company Principal Office Address. When you are ready, select “Next.”

Step 13 – If the Limited Liability Company will be managed by “Members” then select the first radio button. If the Limited Liability Company will be managed by “Managers” then select the second radio button. When you are ready, select “Next.”

Step 14 – Next, you must provide the Identity and Address of at least one Organizer. In the first drop down list, select “Individual” or “Business” to define the type of entity being reported here. The second drop down list has “Organizer” auto selected, leave this selected.

Step 15 – In the lower area of this page, you may either check the box of a Previous Association to auto populate the fields defining the Identity and Address of the Organizer or you may fill in unique information. The Address fields will be in a column on the left: ATTN, Country, Zip/Postal Code, Address Line 1, Address Line 2(optional), City, State (enter State/Province name if non-USA entities), and Country. The Identity fields will be on the right: First Name, Middle Name(optional), Last Name, Email, and Phone Number. When you are ready select “Add Business Representative.”

Step 16 – Next, you may view the Associations you have listed in these articles. If this looks correct, select the button labeled “Next.”

Step 17 – You now have the opportunity to designate a Date of Effect between the Filing Date and Ninety Days past the Filing Date. If you would like the Date of Effect to be the Filing Date then select the second radio button (labeled “No”). If you would like to Name a specific Date of Effect after the Filing Date, select the first radio button, labeled “Yes,” then enter the desired Delayed Effective Date in the field provided and the Delayed Effective Time that Day for a successful filing of these articles to become effective. When you are ready, select “Next.”

Step 18 – Now, you must assign at least one individual as a Business Administrator on the OneStop Portal. If you would like to Name yourself as a Business Administrator, select the check box provided. If you wish to Name another individual then, select the button labeled “Add another Business Administrator” to report the Identity and Address of the OneStop Business Administrator.

Step 18 – Next at least one Organizer and the Registered Agent must read this page of Acknowledgment and Consent. Each of these parties must provide an Electronic Signature. First, select the Name of the Organizer or Authorized Representative from the drop down list. Next, the Authorized Representative must type his or her Name in the first text field. The next paragraph will Name the Kentucky Registered Agent obtained by the Limited Liability Company. The Registered Agent must type in his or her Name in the text box under the words “Signature of individual signing on behalf of the company serving as the Registered Agent.” After providing this Electronic Signature, the Registered Agent must provide the Date of the Electronic Signature. When ready select the button labeled “Next.” This will bring you to a screen where you may review the information you have entered before submitting a payment for the $40.00 Filing Fee (via credit card).

 Step 19 – Once you have received notice that you have successfully filed the Kentucky Articles of Organization Limited Liability Company, print a copy then submit it to the County Clerk where the Limited Liability Company operates. You will also need to contact the Kentucky Department of Revenue to make sure you remain in compliance with the taxing requirements in this state. In the future, you will receive the Annual Report postcard. Every Limited Liability Company must file an Annual Report. This is due every year, following the year of formation, between Jan 1 and June 1. You may file the Annual Report directly from your Dashboard at any time during this period.

Step 1 – Download the Kentucky Articles of Incorporation Limited Liability Company form by selecting the link labeled “Download Form” above. This will allow you to save a PDF copy which you may then use to enter information directly onscreen with a PDF program or PDF form friendly browser. If you do not have access to this software, you may simply print the form then type in the information.

Step 2 – In Article I, report the Full Name of the Limited Liability Company being formed by these articles. Make sure this is an easily distinguishable Name from that of other entities and that it contains the suffix “Limited Liability Company” or a reasonable abbreviation.

Step 3 – In Article II, use the blank line, segmented into sections, to report the Street Address of the Registered Office. This may not be a P.O. Box number since it must be a physical location. Therefore, just above the words “Street Address…,” report the Building Number, Street, and Suite Number. You may then enter the City, State, and Zip Code of the Registered Office on the remainder of this line in the appropriate areas. On the next line, following the words “…registered agent at that office is,” report the Full Name of the Kentucky Registered Agent who may be found at that Physical Location.

Step 4 – In Article III you must provide the forming Limited Liability Company’s Principal Office Mailing Address. This will be the Mailing Address used by the Kentucky Secretary of State to mail the forming Limited Liability Company official mail. You may provide this information on the blank line provided. The first segment of the blank line, “Street Address…,” must contain the Building Number, Street, and Unit/PO Number. The next segments will allow for the City, State, and Zip Code of this Mailing Address to be reported.

Step 5 – In Article IV, check the first box if the Limited Liability Company will be managed by “a Manager(s)” or check the second box if it will be managed by “its Member(s).”

Step 6 – In Article V, you may have the Organizers and Registered Agent provide their Signatures. In the first area, an Organizer will need to Sign his or her Name on the first blank space, Print his or her Name along with the Title held with the Limited Liability Company on the second blank space, and Date the Signature provided on the third blank space. There is enough room for two Organizers to do this. Below this, the Registered Agent must provide a Signature of Consent in serving the forming Limited Liability Company. Just before the words “consent to serve…,” the Registered Agent must Print his or her Full Name on the blank space provided. On the last line of this form, the Registered Agent must Sign then Print his or her Name and provide a Date for the Signature.

Step 7 – Make sure all the information is complete on your Kentucky Articles of Organization and all the paperwork that may need to be submitted for the Limited Liability Company you are forming is present and accounted for. This form must be submitted in duplicate (one original and one copy) when filing it by mail or in person. Step 8 – Next you must make sure to continue your follow up paperwork. Once you have been approved by the state, you will likely need to submit one copy of your Articles of Organization must be filed with the county the Limited Liability Company is located in, you will need to register with Kentucky Department or Revenue, and you must file an Annual Report with the Kentucky Secretary of State every year starting with the year after formation.
