How to Form

Step 1 – The first step one takes when forming a Limited Liability Company is thinking of what to call it. The State of Kentucky will require that every business entity has a unique Name, thus whatever type of Limited Liability Company you are forming must have a Name that is not taken or confusing. Also, the State of Kentucky will require an appropriate business suffix. For instance “Limited Liability Company” or “Professional Ltd. Co.” You may consult the Kentucky Secretary of State Name Availability Search.” Also, if desired you may reserve a desired (unclaimed) Name by submitting the form Kentucky Reservation or Renewal of Reserved Name (Filing Fee $15.00).

Step 2 – Next, you will need to perform due diligence when it comes to fulfilling preliminary procedures, such as obtaining any necessary licenses or making sure you have obtained the consent of a Kentucky Registered Agent. The latter is required to form and/or register a Limited Liability Company in compliance with the State of Kentucky. Those wishing to form and/or register a Limited Liability Company in the State of Kentucky are encouraged to seek professional advice from a licensed professional, such as a Kentucky licensed attorney, before filing such documents.

Step 3 – When you have fulfilled all the basic requirements for the type of Limited Liability you wish to form and register, you must submit the Kentucky Articles of Organization Limited Liability Company (Filing Fee $40.00) to the Kentucky Secretary of State. If you are registering a foreign Limited Liability Company, you will need to submit the Kentucky Certificate of Authority Foreign Business Entity (Filing Fee $90.00). All fees are payable upon form submission regardless of whether it is being submitted by mail or online. If filing by mail, you must pay with a check made out to “Kentucky State Treasurer.” If filing online, you must pay with a credit card.

After Formation

Structure: Generally, Organizational Meetings should occur once the Limited Liability Company begins to take shape. It is at these meetings where Operational Agreements are set in stone. This practice will aid in the efficiency of the newly Registered Limited Liability Company and help in preventing future misunderstandings.

EIN: In some cases, such as with Limited Liability Companies that have more than one Member, any Emloyees, or file as a Corporation, the Limited Liability Company must fulfill a requirement of the Internal Revenue Service by obtaining an Entity Identification Number. Contact the Internal Revenue Service to find out more. It would also be wise to contact the Kentucky Department of Revenue to make sure the newly formed Limited Liability Company remains in compliance with its tax obligations.

Maintenance: Kentucky Limited Liability Companies must submit an Annual Report to the Kentucky Secretary of State once a year. This must be done between Jan 1 and June 1. The first Annual Report after the successful reservation of a Limited Liability Company will be during this time period the year after it formed. The Kentucky Secretary of State will send the Limited Liability Company an Annual Report Postcard.
