Form a Professional Limited Liability Company in Kansas – Kansas Professional Limited Liability Company (Form 51-22)

The Kansas Professional Limited Liability Company (Form 51-22) must be filed by mail with the Kansas Secretary of State when a professional entity wishes to form and operate in the State of Kansas as a Limited Liability Company. This must be accompanied with a Certificate from the Kansas Regulatory Board regarding this profession. The Certificate must state the licenses of all practicing professionals delivering the Professional Limited Liability Company’s services are in order and the Name chosen is approved for this profession.

Step 2 – Locate the First Article on the second page (“Name of limited liability company”) then enter the Full Name of the forming Limited Liability Company. This must be compliant with K.S.A. 17-76, 123 and thus must be unique with the appropriate business suffix for this entity.

Step 3 – In the Second Article, report the Full Name of the Kansas Resident Agent in the box labeled “Name.” Then use the “Street Address” box to report the Registered Office’s Building Number, Street, and (if applicable) Unit Number. Next, fill in the City where the Resident Agent maintains the Registered Office and the Zip Code in the boxes labeled “City” and “Zip,” respectively.

Step 4 – In the Third Article, report the Mailing Address the Professional Limited Liability Company is able to receive official notices mailed from the Kansas Secretary of State in the boxes provided. Here, you must provide the Mail Contact’s Name in the box labeled “Attention Name” then the Mailing Address using the “Address,” “City,” “State,” “Zip” and “Country” fields.

Step 5 – In the Fourth Article, document the Tax Closing Month of the forming Professional Limited Liability Company.

Step 6 – In the Fifth Article, you must report the Purpose of the Professional Limited Liability Company being formed. This must be the Professional Purpose and it must cover why this entity is being formed and how it will conduct its activities.

Step 7 – In the Sixth Article, you may select an Effective Date for these articles. This means that if you wish the Effective Date of a successful filing to occur after the Filing Date, you may determine one between the Filing Date and 90 days after the Filing Date. You may also elect to have the Effective Date be the Filing Date. To have the Effective Date be the Filing Date, place a mark in the box labeled “Upon Filing.” If you wish to name a Future Effective Date, then place a mark in the second check box and report the Desired Date of Effect in the following boxes (Month/Day/Year).

Step 8 – Next, you must submit the Kansas Articles of Organization Professional Limited Liability Company to the Kansas Secretary of State by mail. This will require a payment of $165.00 for the Filing Fee. This check must be made payable to “Secretary of State.” Included with the Kansas Articles of Organization Professional Limited Liability Company must be a Certificate issued by the State Regulatory Board verifying that each Member is licensed and the Name of the Professional Limited Liability Company has been approved.

Step 9 – Regardless of the type of Limited Liability Company that has formed, every Limited Liability Company wishing to remain in compliance with the Kansas Secretary of State must file an Annual Report by April 15th ever year.
