How to Form an LLC in Kansas – KS Secretary of State

The Kansas Articles of Organization must be submitted to the Kansas Secretary of State whenever a Limited Liability Company wishes to operate as such in this state. There are several types allowed a standard domestic Limited Liability Company (Filing Fee $165.00), a Series Limited Liability Company (Filing Fee $165.00), a Professional Limited Liability Company (Filing Fee $165.00) and a Foreign Limited Liability Company (Filing Fee $165.00). You may file all of these by mail with a check for the full Filing Fee amount made out to "Secretary of State." However, the standard domestic Limited Liability Company may be formed online with a Filing Fee of $160.00 (payable with a credit card). All filings must be paid for in order to be processed and all paperwork required must be present.

How to Form

Step 1 – Think of a unique Name for the Limited Liability Company you wish to form in the State of Kansas. The Name you choose for the Limited Liability Company being formed must be distinguishable from that of other entities on the record books and may not be misleading in anyway. Also, you will need to indicate the status of the business being formed. In Kansas, Limited Liability Companies must have the words “Limited Liability Company” or an acceptable abbreviation (such as “LLC”) adopted as the suffix part of the Name. You may search the Kansas Secretary of State Records to make sure no other Entity bears the chosen Name here: https://www.kansas.gov/businesscenter/. If desired, you may also choose to Reserve this Name for your entity to make sure it is available to you before filing. You may do this for a fee of $35.00 using the Kansas Temporary Reservation of Business Entity Name (Form 52-01).

Step 2 – Next, you will have to make sure you take the necessary steps regarding the structure of the Limited Liability Company being formed. Such aspects as the Number of Members, how it will be Managed, and the type of Tax Entity it wishes to file as must be covered.

Step 3 – Some paperwork regarding the formation of a Limited Liability Company must be taken care of before registering this entity with the Kansas Secretary of State. For instance, you may need to obtain a local business license. In any case, you will definitely need to obtain a Kansas Registered Agent as required by State Law. This is the party who shall receive Service of Process on behalf of the Limited Liability Company being formed.

Step 4 – When you have fulfilled the requirements of forming the internal structure of the Limited Liability Company, filed any and all preliminary documents, and obtained a Kansas Registered Agent for the Limited Liability Company, then you must Register the newly formed Limited Liability Company with the Kansas Secretary of State. If you are filing by mail, you must include a check for the Full Filing Fee amount that is payable to Secretary of State. If filing online, you will need to pay with a credit card. A Series Limited Liability Company may only be filed by mail for $250.00. A Professional Limited Liabiltiy Company may only be filed by mail for a Fee of $165.00. For Foreign Limited Liability Companies, the Foreign Limited Liability Company Application may only be filed by mail and requires a Fee of $165.00. Note: You will need to set up an account with the Kansas Secretary of State KanAccess site if you wish to file online.

After Formation

Structure: Once the Limited Liability Company has successfully registered, it is highly recommended to hold Organizational Meetings and make sure an Operational Agreement has been set forth. Future disagreements or confusion is likely to be avoided in solidifying agreements such as those concerning such matters as allocation of losses, member requirements, and rights.

EIN: Limited Liability Companies will need to obtain an Entity Identification Number from the I.R.S. if they have multiple members, have employees, or will file as a corporation. Consult the I.R.S. regarding its requirements for the Limited Liability Company being formed.

Maintenance: Registering the Limited Liability Company's formation with the Kansas Secretary of State will only satisfy one requirement of Limited Liability Companies wishing to do business in the state of Kansas. For instance, the Limited Liability Company must file an Annual Report every April 15th.
