The Filing Fee for this is $500.00. This is payable with certified check, cashier's check, Illinois Attorney (or C.P.A.) check, or money order payable to "Secretary of State" when filing by mail or by credit card when filing online. Foreign entities wishing to operate as Limited Liability Companies must submit an Illinois Application for Admission to Transact Business while a domestic Limited Liability Company which will also bear the same Filing Fee but may not be filed online.

How to Form

Step 1 – In order to operate a Limited Liability Company in the State of Illinois, you must give it an unowned business Name to operate under in the State of Illinois. Additionally, this Name must end with a business suffix that is appropriate (“Limited Liability Company” or a generally accepted abbreviation of this term such as “LLC.” To this end, you may search the Illinois Secretary of State Certificate of Good Standing for the Name you have chosen to make sure no other business entity uses it. If you do settle upon a Name you may choose to Reserve it by filing an Illinois Application to Reserve a Name (Form LLC-1.15). The Filing Fee for Form LLC-1.15 is $100.00.

Step 2 – Next the forming entity must obtain an Illinois Registered Agent. This party will act as a reliable recipient (on behalf of the Limited Liability Company) for such deliveries as Service of Process. The Illinois Registered Agent must maintain a physical presence in the State of Illinois and may not be the actual Limited Liability Company being served. Make sure this and all other preliminary obligations of the state and federal governments have been fulfilled.

Step 3 – Whether you are forming a domestic Limited Liability Company or are a foreign Limited Liability Company seeking the right to conduct business in Illinois, you will need to register the entity’s presence as a Limited Liability Company. A foreign Limited Liability Company will need to submit the Illinois Limited Liability Application for Admission to Transact Business while a domestic Limited Liability Company will need to file an Illinois Limited Liability Articles of Organization. Both forms require a Filing Fee of $500.00. The Illinois Secretary of State will accept a certified check, cashier’s check, Illinois Attorney (or C.P.A.) check, or money order payable to “Secretary of State. After Formation

Structure: A Limited Liability Company is generally encouraged to develop and implement an Operational Agreement to regulate such aspects as rights, privileges and liabilities. Typically such agreements are discussed and finalized during Organizational Meetings. It is therefore, highly recommended for Limited Liability Companies to have regular Organizational Meetings once they form.

EIN: Contact the Internal Revenue Service and obtain an Entity Identification Number. This will keep you in compliance with tax codes and help identify you to the Internal Revenue Service.

Annual Report: Every Limited Liability Company must file an Annual Report. This is due one day before the anniversary month beginning with the first anniversary. You may obtain the Illinois Annual Report Form LLC 50.1. Make sure this, and any future obligations concerning the newly formed Limited Liability Company are fulfilled.
