Form a Professional Limited Liability Company in Idaho – Certificate of Organization Professional Limited Liability Company

The Idaho Certificate of Organization Professional Limited Liability Company must be filled out then submitted in duplicate to the Idaho Secretary of State when an entity wishes to form and register as an Idaho domestic Limited Liability Company. There must be at least one original copy and both must bear a physical signature. The Idaho Secretary of State will require a payment of $100.00 for the Filing Fee of submitting this paperwork. If however, this form has been filled out by hand then you must pay an additional $20.00.

The Idaho Secretary of State will return a stamped filed copy of a successful filing around five business days after receipt. This time period may vary depending upon the workload of the Idaho Secretary of State Office. You may expedite this filing for an additional $20.00. You may remit payment for any and all fees with a check made out to “Idaho Secretary of State” or you may use a major credit card (American Express, Discover, MasterCard, and Visa). In order to pay with a credit card, you must submit the credit card information via the Credit Card Transmittal Form.

Step 1 – In Article 1 report the entire Name of the Limited Liability Company being formed. The Name chosen for the Limited Liability Company must contain the term “Limited Liability Company” or an acceptable abbreviation as such. This must also be a distinguishable Name that no other entity bears or uses.

Step 2 – Next, in Article 2, the Complete Street Address and Full Mailing Address of the Principal Office must be documented. There will be two lines provided for this purpose. The first line, “Street Address,” should have the Building Number, Street, Unit Number, City, State, and Zip Code describing the Physical Location docmented. The second line is reserved for the Mailing Address. If the Mailing Address is the same as the Physical Street Address, then you may leave the second line blank.

Step 3 – In Article 3, report the Idaho Registered Agent obtained by the Limited Liability Company for the purpose of receiving Service of Process aimed at the Limited Liability Company on behalf of the Limited Liability Company. Then you will need to report the Physical Address of the Idaho Registered Agent.

Step 4 – Next, in Article 4, you must document the Full Name and Complete Address of the individuals or entities governing the decisions of the Limited Liability Company. There must be at least one governor listed.

Step 5 – In Article 5, report a reliable Mailing Address where the Limited Liability may receive future correspondence from the Idaho Secretary of State (i.e. annual report notices).

Step 6 – The last area of the document requiring attention is labeled “Signature of Organizers.” Here at least one of the Organizers of the Limited Liability Company must provide his or her Signature and Print his or her Name. There will be enough room for two Organizers to do this with each section possessing a “Signature” line and “Printed Name” line.

Step 7 – Next you may submit the Idaho Articles of Organizations to the Idaho Secretary of State by mail or delivery. This must be accompanied by a check or moey order providing a Full Payment for the $100.00 Filing Fee. If this documented has not been filled out by hand then, you must include an additional $20.00 payment. You may request Expedited Service in your Cover Letter but will need to include an additional $20.00 with you payment. If you wish the fees to be paid using a pre-paid customer account, you may request this via the cover letter being submitted.
