How to Form an LLC in Idaho – ID Secretary of State

The Idaho Articles of Organization and Foreign Registration Statement are both provided by the Idaho Secretary of State so that entities wishing to operate as a Limited Liability Company may register with the Idaho Secretary of State. The Filing Fee for these documents is $100.00 if the submitted form is typewritten or filled out on a screen then printed. If the submitted form is handwritten, the Filing Fee will be $120.00. Generally, this process takes around five business (upon receipt) to complete. This may be expedited upon request with an additional $20.00 Payment. All applicable fees, especially the Filing Fee, will need to be tendered in order for this paperwork to be accepted and processed. You may with a check, a major credit card, or a prepaid account with the Idaho Secretary of State. If you are paying with a check, make sure it is payable to "Idaho Secretary of State." If you are paying by credit card or prepaid account, you must include a completed Credit Card Transmittal Form or Cover Letter with your prepaid account information (respectively). There will be a $1.00 processing fee for all Credit Card payments.

How to Form

Step 1 – Think of a Name for the Limited Liability Company being formed. This Name must have a suffix indicating the status of the Limited Liability Company being formed (such as “Limited Liability Company,” “LLC,” “L.L.C.”). This must also be a unique Name in the State of Idaho.

Step 2 – Next, you will need to fulfill the obligations of forming such an entity. This is likely to involve obtaining the correct licenses and tax forms necessary to operate in the county the Limited Liability Company will be located. Such requirements will vary depending on the county. One requirement that must be fulfilled on the state level is to obtain an Idaho Registered Agent. This must be an individual or an entity with a physical address in the State of Idaho who is qualified and consents to receiving Service of Process aimed at the Limited Liability Company on behalf of the Limited Liability Company.

Step 3 – Once you have settled the nuances of preparing to register the Limited Liability Company, you must submit an Idaho Certificate of Organization to the Idaho Secretary of State to form a domestic Limited Liability Company. If the goal is to register a foreign Limited Liability Company then you must submit the Idaho Foreign Registration Statement. This must be accompanied with a Filing Fee of $100.00 which is payable with a check (made out to “Idaho Secretary of State”), a major credit card (submitted with a completed Credit Card Transmittal Form), or a prepaid account with the Idaho Secretary of State (submitted with a Cover Letter containing your account information). A credit card payment will bear a $1.00 processing fee. Note: If the forms submitted have been filled out by hand the Filing Fee will be $120.00. You may submit this paperwork by Mail or Delivery.

After Formation

Structure: Standard practice requires that an Operational Agreement developed during the Organizational Meetings be documented and set forth. While this is not a requirement of the state, this level of organization is said to greatly influence the productivity of a Limited Liability Company.

EIN: The Entity Identification Number is typically required and issued by the I.R.S. Contact the Internal Revenue Service so that you may pursue the proper channels in obtaining one.

Annual Report: Each Limited Liability Company operated in the State of Idaho must file an Annual Report. This may be done online and free of charge here: http://www.sos.idaho.gov/corpar/Default.aspx. You will receive a postcard in the mail, sent to the Mailing Address provided on the registration form filled out by the Organizer or Submitter.
