How to Form an LLC in Iowa – IA Certificate of Organization

The Iowa Certificate of Organization must be drawn up then submitted for approval to the Iowa Secretary of State when an entity wishes to operate as a Limited Liability Company. If a Limited Liability Company was formed (and currently operates) outside the State of Iowa, then it must submit the Iowa Limited Liability Company Application for Certificate of Authority to the Iowa Secretary of State. You may submit either of these documents by mail or electronically with a Full Payment of the Filing Fee and any required paperwork. The Filing Fee for the Iowa Certificate of Organization is $50.00. The Filin Fee for the Iowa Limited Liability Application for Certificate of Authority is $100.00. All checks must be made payable to "Iowa Secretary of State." All mail in submissions paid for with a credit card must be accompanied with a completed Charge Transaction Form (credit card) or a Charge Account Holder Information Change Form (prepaid account).

How to Form

Step 1 – You must give the Limited Liability Company a Name that has not been taken by another business entity with a business suffix. Examples of acceptable business suffixes are “Limited Liability Company,” “LLC,” or a variation thereof. If desired, you may check to see if this Name is taken by searching for it in the Iowa Secretary of State Business Names Database. If you wish, you may Reserve this Name by submitting the Iowa Application for Reservation of Name (Filing Fee $10.) or electronically reserving the Name here: https://sos.iowa.gov/file/origination/index.aspx

Step 2 – Get an Iowa Registered Agent. All Limited Liability Companies must have a Registered Agent who provides the courts a reliable method to receive Service of Process on behalf of the Limited Liability Company.

Step 3 – Draw up and submit the Iowa Certificate of Organization Limited Liability Company for submission to the Iowa Secretary of State. Registering the formation of a Limited Liability Company formed in Iowa is mandatory. If the Limited Liability Company being registered already exists as a Limited Liability Company outside the State of Iowa then you must submit the Iowa Limited Liability Company Application for Certificate of Authority. The Filin Fee for the Iowa Certificate of Organization is $50.00 while the Filing Fee for the Iowa Limited Liability Application for Certificate of Authority is $100.00. This may be be submitted by mail or electronically. If you file by mail you may pay the Filing Fee with a check made out to Iowa Secretary of State, pay for it with a credit card, or use a prepaid account. If you file electronically you may not pay by check. If you file by mail and are not paying with a check, then you must either submit a completed Charge Transaction Form (credit card) or a Charge Account Holder Information Change Form (prepaid account).

After Formation

Structure: It is strongly recommened to have an Organizational Meeting regularly. This will aid in the basic operations of the Limited Liability Company.

EIN: The I.R.S. will require an entity to pay its taxes. The Entity Identification Number (EIN) is assigned by the Internal Revenue Services as a method of identifying tax paying entities. Contact the I.R.S directly to see if the LLC being formed is required to obtain the EIN and apply for it.
