How to Form an LLC in Hawaii – HI Department of Commerce and Consumer Affairs

The Hawaii Articles of Organization for Limited Liability Company (LLC-1)  is the form a domestic entity wishing to organize and register a Limited Liability Company must fill out and submit to the Hawaii Department of Commerce and Consumer Affairs. If the entity wishing to register as a Limited Liability Company in the State of Hawaii has already formed in another jurisdiction and wishes to operate here then it is considered a foreign Limited Liability Company. Such an entity will require the entity to file the Hawaii Application For Certificate of Authority For Foreign Limited Liability Company (Form FLLC-1). The Filing Fee for either of these submissions is $50.00 and may be paid with a check made out to Hawaii Department of Commerce and Consumer Affairs. This must be accompanied with a $1.00 State Archive Preservation Fee. These are mandatory fees for either of these filings. You also have an option to expedite the filing for an additional $25.00 Fee. If you wish to have a Certified Copy, this is available for a fee of $10.00. If you file online, you may pay for any and all of these fees with a credit card.

How to Form

Step 1 – Think of a Name the Limited Liability Company may use to operate as in the State of Hawaii. Whether the entity is a domestically formed one or one that has already formed as a foreign Limited Liability Company, it must have a unique and distinguishable Name on the record books. This entity must also bear an appropriate suffix (“Limited Liability Company” or an acceptable abbreviation). You may search the Hawaii Department of Commerce and Consumer Affairs records for entities bearing a similar or the same name as a precaution here: https://hbe.ehawaii.gov/documents/search.html. You may also reserve the Name you have chosen by submitting the Hawaii Application for Reservation of Name (Form X-1) and a payment of $10.00.

Step 2 – You will need to obtain a Hawaii Registered Agent in order to keep a Limited Liability Company in compliance with the Hawaii Department of Commerce and Consumer Affairs. This party will agree to receive Service of Process on behalf of the Limited Liability Company being registered. This may not be the Limited Liability Company itself but rather may be an Individual or Business Entity that may legally transact business in the State of Hawaii that maintains an address in the State of Hawaii at all times.

Step 3 – Next the registering entity will need to file either a Hawaii Articles of Organization For Limited Liability Company (if it is a domestic entity) or a Hawaii Application for Certificate of Authority for Foreign Limited Liability Company (if it is a foreign entity). This may be done online or by mail. If filing by mail then you must pay the $50.00 Filing Fee with a check made out to “Department of Commerce and Consumer Affairs.” If filing online, you must pay with a credit card. There will be a $1.00 State Archive Preservation Fee. Additional Services available upon request is 3-Day Expediting for $25.00 or having a Certified Copy mailed to you for the additional charge of $10.00

After Formation

Structure: It is standard practice to hold an Organizational Meeting and setting up some necessary Operational Agreements. This is not mandatory but a highly recommended procedure when forming a Limited Liability Company.

EIN: Contact the Internal Revenue Service to determining if the newly formed Limited Liability Company requires an Entity Identification Number.

Annual Report: Based upon the quarter you formed the Limited Liability Company, an Annual Report will need to be filed by a certain date. If the Limited Liability Company was formed between January 1 and March 31, the Annual Report will be due on March 31 of each year. If the Limited Liability Company was formed between April 1 and June 30, you will need to file an Annual Report by April 1 of each year. If the Limited Liability Company was formed between October 1 and December 31, you will need to file an Annual Report by October 1 of each year.
