Form a Domestic LLC in Georgia – Transmittal Information Form Georgia Limited Liability Company (Form 231)

The Transmittal Information Form Georgia Limited Liability Company (Form 231) is used by the Georgia Secretary of State Corporations Division to gather the basic necessary information that all Limited Liability Companies must report to form and register in the State of Georgia. This information will serve to Identify the filing entity and solidify various facts. Items such as the Identity and Location of the Registered Agent, Correspondence Information, and the Effective Date will need to be approved and documented by the Georgia Secretary of State Corporations Division. The Georgia Transmittal Information Form Georgia Limited Liability Company is a standard template form that will gather such information onto one document.

The Filing Fee for the Georgia Transmittal Information Form is $100.00. This may be submitted in the form of a check, money order, or cashier’s check payable to “Secretary of State,” when filing by mail. If paying with a check, make sure the Name and Address is printed on the check (no starter checks will be accepted). This filing may also be done online. If filing online, you may pay with a credit card (American Express, Discover, MasterCard, and Visa). Typically this filing will take an average of 15 business days to process. You may expedite this filing upon request and payment of the appropriate amount. The Expediting Fee for Two Business Days Expedited Service is an additional $100.00. The Expediting Fee for Same Day Expedited Service is an additional $250.00. The Expediting Fee for One Hour Expedited Service is an additional $1,000.00.

How To File Electronically

Step 1 – Open the Georgia Secretary of State Corporations Division Ecorp Log In page: https://ecorp.sos.ga.gov/Account. Enter your Username in the first field, then enter your password in the second field. When ready select the button labeled “Log In.”

Step 2 – Locate the button labeled  “Create or Register a Business” and select it.

Step 3 – Select the radio button labeled “I am creating a new domestic business.” This will generate an additional field to define the entity type in a drop down list. Select “Domestic Limited Liability Company” to generate the remaining fields necessary to register the entity.

Step 4 – In the Business Name section, indicate if you have Reserved a Name by selecting either the radio button labeled “Yes” or the radio button labeled “No.” If you choose “Yes,” you will be prompted to enter the Reservation File Number you received. For our purposes, select “No,” then enter your first choice for what you wish the Name of the Limited Liability Company to be in the field labeled “Requested Business Name.” Use the fields labeled “2nd Choice of Business Name” and “3rd Choice of Business Name” to report to alternatives should your first choice be unavailable.

Step 5 – In the Business Purpose section, use the NAICS Code and the NAICS Sub Code fields to define the Purpose of your business. Both of these are drop down lists. You may choose “Any legal purpose” or you may use the first field to pick a general code and the second field to pick a more specific code to define the forming Limited Liability Company.

Step 6 – Next, fill out the Address of the Limited Liability Company’s Principal Office using the fields labeled “Street Address 1,” “Street Address 2,”  “City,” “State,” “Country,” and “Zip Code.”

Step 7 – In the “Business Email” section, you must enter the Email Address used by the Limited Liability Company twice. First in the field labeled “Primary Email Address” then, in the field labeled “Confirm Primary Email Address.” The “Secondary Email Address” field is an optional field in case there is a second Email Address that should be reported.

Step 8 – Next, in the section labeled “Registered Agent Information,” enter the Full Name of the Registered Agent obtained for this company. Once you have done this select “Search.” This will generate a dialogue window with a list of Registered Agents. If yours is listed, select that row then select the “OK” button. If not select the button labeled “Cancel.” If there are no matches, a dialogue stating as much will appear. In such a case, click “OK” in the dialogue box then in the “Registered Agent Information, select “Create.” For our purposes, we shall assume, the Registered Agent is not listed. Select “Create Registered Agent.”

Step 9 – In the first field of the “Create Registered Agent” dialogue box, select whether the Registered Agent is an individual or a business. For our purposes, select “Individual.”

Step 10 – Next, use the First Name, Last Name, Business Name (enter a company Name), and Middle Name to report the Identity of the Registered Agent. Then use the “Email Address” field to enter the Registered Agent’s Email Address. Finally, use the fields labeled “Street Address 1,” “Street Address 2,” “City,” and “County,” and “Zip Code” fields to report the Full Address of the Physical Location of the Registered Agent. Once you have done this, select the button labeled “Create Registered Agent.” This information will display in a table in this section where you may view, edit, or delete it.

Step 11 – In the section labeled “Organizer Information,” enter the Identity and Business Addresses of the Organizers of this Limited Liability Company. Use the drop down list, in the field labeled “Principal Type,” to indicate if the Organizer being reported is an Individual or a Business. Then enter the First Name, Last Name, Middle Name, Suffix, Street Address 1, Street Address 2, City, State, Country, and Zip Code fields to report the Identity and Business Address of an Organizer. Then select the button labeled “Add.” This will generate a table with the information you have just entered. You must enter as many Organizers as there are on the Roster. Each entry will be viewable in a table you may view, edit, and delete.

Step 12 – If there are any Provisions that must be included, you may enter them in the text box labeled “Optional Provisions.” You will have 8,000 characters to do this.

Step 13 – The Submitter of this form must mark the check box in the “Filer’s Certification (Signature).” Below this you may either name the Filing Date as the Effective Date by selecting the first radio button or you may name the Effective Date to be at a later time (no more than 90 days past the Filing Date) by selecting the second radio button then entering the desired date in the text box provided.

Step 14 – In the text box labeled “Authorizer Signature,” a qualifying Authorized Representative or Attorney in Fact must type in his or her Name. Then, in the Authorizer Title field, the Signature Party must select his or her role with this paperwork and forming Limited Liability Company. This will act as a binding signature. When you are ready, select “Continue.” This will direct the browser to an area where you may review the information you have entered or navigate using the button labeled “Back” to make any corrections. If all the information is correct, you may submit this form and enter a payment area (there is a $100.00 Filing Fee, any additional service selected will be added to this fee). Your filing will not be considered complete unless you have reached the Confirmation Page for a successful payment.

Step 15 – Every Limited Liability Company in the State of Georgia must file an Annual Report once a year. The first Annual Report filed must be during the Year following the formation of the Georgia Limited Liability Company between Jan 1 and April 1. Step 2 – In the first box on the Transmittal Information Form Georgia Limited Liability Company, report the Email Address the Georgia Secretary of State may use for correspondence on the blank line labeled “Primary Email Address.”

Step 3 – Article 1 will have two blank lines. If you have Reserved a Name for the Limited Liability Company being formed then enter the LLC Name Reservation Number on the first blank. If you have not made a Name Reservation then leave the first line blank.

Step 4 – On the second blank line in Article 1, “LLC Name,” report the Full Name of the Limited Liability Company this Transmittal Form concerns itself with. Reminder: The Name of a forming Limited Liability Company must be unique in the State of Georgia. It must also contain the appropriate suffix (L.L.C., Limited Liability Company, etc.).

Step 5 – In Article 2, enter your Full Name on the first blank line. Then enter your Business Address on the second blank line (labeled “Address,” “City,” “State,” and “Zip Code.” Finally, the third blank line will be composed of two spaces. In the space labeled “Filer’s Email Address,” enter your Email Address. Then, on the space labeled “Telephone Number,” report your Daytime Telephone Number. It should be noted the Certificate resulting from a successful filing of this Transmittal Form will be emailed to the Email Address listed here.

Step 6 – In Article 3, fill in the Principal Office Mailing Address. This must be where the forming Limited Liability Company receives its mail in a reliable fashion. Use the first line to enter the Building Number, Street, Unit Number or applicable P.O. Box. Then on the second line, report the City, State, and Zip Code in the appropriately labeled areas.

Step 7 – In Article 4, enter the Full Name of the Registered Agent in Georgia on the first blank line. This is the party who has consented to receive court documents aimed at the forming Limited Liability Company (particularly Service of Process). Then, on the second blank line, report the Physical Location of the Georgia Registered Agent’s Registered Office. This must contain a Building Number, Street (or Route Number), and Unit Number. Do not report a P.O. Box Address here. Next, on the third line, enter the City, County, and Zip Code in the appropriately labeled areas. Finally, on the last line, enter the Registered Agent’s Email Address.

Step 8- In Article 5, you will need to provide the Name and Address of each Organizer. There will be enough room to enter the information for two Organizers, however if there are more then you must continue the Roster with a separate sheet of paper. Each blank line will be divided into several sections: Organizer, Address, City, State, and Zip Code. Report the Full Name in the area labeled “Organizer,” the Building Number/Street/Suite Number (of the Organizer’s Business Address) in the area labeled “Address,” the City, State, and Zip Code (of the Organizer’s Business Address) in the areas labeled “City,” “State,” and “Zip Code. Make sure to follow this exact format in any attachments continuing this Roster.

Step 9 – In Article 6, locate the line labeled “Signature of Authorized Person.” Here, an Authorized Representative of the registering Limited Liability Company, such as a Manager or Director, must provide his or her Signature. Then, on the space labeled “Date,” the Signature Party must enter the Date of the Signature. On the last line of this document, the Signature Party must Print his or her Name.

Step 10 – Now, verify all the information on this form. Organize any documents that must accompany the Transmittal Information Form Georgia Limited Liability Company, and a check for the $100.00 Filing Fee payable to “Secretary of State.” You may submit this form to the Georgia Secretary of State Division of Corporations. Normally, the processing time will take 15 Business Days from receipt. You may choose to have your filing expedited upon request provided you pay the appropriate Expediting Service Charge: One Hour Expedited Service will require an additional $1,000.00 payment, Same Day Expedited Service will require a $250.00 additional payment, Two Day Expedited Service will require a $100.00.

Step 11 – You will need to make sure you keep up on all the paperwork required of a Georgia Limited Liability Company. An example of this is the Annual Registration which must be filed between January 1 and April 1 of the year following the Calendar Year of registration.
