Form a Foreign LLC in Florida – The Application by Foreign Limited Liability Company For Authorization to Transact Business in Florida

The Application by Foreign Limited Liability Company For Authorization to Transact Business in Florida must be submitted for approval by any foreign Limited Liability Company to the Florida Secretary of State in order to conduct business in this state. Qualifying Limited Liability Companies will be able to provide the information on this form as well as a Certificate of Good Standing. The Certificate of Good Standing, known as a Certificate of Existence in some jurisdictions, will need to be issued by the governing body of the foreign Limited Liability’s home jurisdiction within 90 Days before the Filing Date.

You may file the Application by Foreign Limited Liability Company For Authorization to Transact Business in Florida by mail, courier, or online. If you file by mail you must include a check in the amount of $125.00. This must be payable to “Florida Department of State.” You may order optional services provided you pay the appropriate additional fee. For instance if you would like a Certificate of Status included with your returned documents then you must include an additional $5.00 with the Filing Fee payment. If you would like a Certified Copy of the filing then you must include an additional payment of $30.00.

Step 1 – You may obtain a blank copy of the Florida Application By Foreign Limited Liability Company For Authorization To Transact Business In Florida by selecting the link labeled “Download Form,” above. You may either use a PDF program to enter this information onscreen or you may print this document and enter the information manually. Note: If you fill this form in by hand, it must be legible. Any illegible items will cause this application to be returned for corrections.

Step 2 – The first page is the Cover Letter provided for the application being submitted. On the first line, labeled “Subject,” enter the Full Name of the Limited Liability Company applying for the authority to conduct business in the State of Florida.

Step 3 – Next you will need to report where you would like the items being returned to be sent. Enter the Name of the Recipient on the blank line labeled “Name of Person.” On the line below, labeled “Firm/Company,” report the Name of the Company where these items are being returned (if applicable). Enter the Full Mailing Address using the lines labeled “Address” and “City/State and Zip Code” where this material should be sent. Finally, report an up to date and reliable Email Address on the last line in this section where the Florida Secretary of State Division of Corporations may send information to in the future.

Step 4 – The next area will require the Name of a Contact Person and the Phone Number where the Florida Secretary of State Division of Corporations may reach this party.

Step 5 – On the last line, below the words “Enclosed is a check for the following amount,” define the service you desire with this filing. If you wish to simply File this application and receive only the Letter of Acknowledgement and the returned filed documents, then mark the first check box (“$125.00 Filing Fee”). If you would like a Certificate of Status mailed back with your items then mark the second box (“$130.00 Filing Fee & Certificate of Status”). If you wish a Certified Copy to be mailed with your returned items then mark the third check box (“$155.00 Filing Fee & Certified Copy”). If you would like both a Certificate of Status and a Certified Copy to be returned with your items then mark the fourth box ($160.00 Filing Fee 7 Certificate of Status & Certified Copy).

Step 6 – In Item 1, on the page labeled “Application By Foreign Limited Liability Company For Authorization To Transact Business In Florida,” report the Full Name of the foreign Limited Liability Company applying for the authority to conduct business in the State of Florida. This must be reported precisely as it is documented on the Certificate of Good Standing being submitted with this application.

Step 7 – The second blank line, in Item 1, is provided in the event the Full True Name of the applying foreign Limited Liability Company may not use its Name in the State of Florida. If this is the case, an Alternate Name must be adopted, then entered on the second blank line in Article I. This must be an easily Identifiable and Unique Name with the appropriate business suffix for a Florida Limited Liability Company (i.e. LLC, L.L.C., Limited Liability Company).

Step 8 – On the blank line, in Item 2, enter the Jurisdiction where the applying foreign Limited Liability Company was organized and registered.

Step 9 – On the blank line in Item 3, report the applying foreign Limited Liability Company’s Federal Identification Number (if applicable).

Step 10 – If the applying foreign Limited Liability Company has already conducted business in the State of Florida then report the Date of the first transaction on the blank line in Item 4.

Step 11 – In Item 5, document both the Physical Address of the applying foreign Limited Liability Company. Report the Physical Address in the column labeled “Principal Office Address.” This must be the Physical Location of the Principal Office and may not contain a P.O. Box.

Step 12 – If the applying foreign Limited Liability Company Principal Office receives its mail at an Address that differs from its Physical Location, report this Address, on the blank lines labeled “Mailing Address,”in Item 5. If the Principal Office does not have a Mailing Address then you may leave Item 5 blank.

Step 13 – Locate the blank line labeled “Name” in Item 7, then report the Full Name of the Florida Registered Agent who will receive Service of Process on behalf of the foreign Limited Liability Company being registered with this document.

Step 14 – On the blank lines labeled “Office Address,” in Item 7, fill in the Complete Address of the Physical Location of the Florida Registered Agent obtained. The first line may not contain a P.O. Box and must contain the Building Number, Street, and Unit Number where the Florida Registered Agent may be found. Then on the line below this, report the City and Zip Code where the Florida Registered Agent is located.

Step 15 – Below the Acknowledgement Paragraph, in Item 7, the Florida Registered Agent must provide his or her Signature on the blank line labeled “Registered agent’s signature.” Note: This will be considered a binding statement between the Registered Agent, the applying foreign Limited Liability Company, and the Florida Secretary of State.

Step 16 – In Article IV, report the Authorized Members and Managers who make the day to day managerial level (and above) decisions regarding the applying foreign Limited Liability Company’s behavior and activity. There is enough room to report three parties (one on each blank line), however if there is not enough room, you must list the remaining partis on a separate sheet of paper attached to this document.

Step 13 – Item 9 will obligate the applying foreign Limited Liability Company to supply an original Certificate of Existence (or Good Standing) issued by the governing body (such as the Custodian of Records, Secretary of State, or comparable entity) within the past 90 Days. Note: The Full Name of the applying foreign Limited Liability Company listed on this Certificate of Existence must match the Name listed on the first blank line in Item 1. This Item will require the Signature of an Authorized Representative (Member, Director, Manager, etc.) of the applying foreign Limited Liability Company on the blank line labeled “Signature of an authorized person.”

Step 14 – The last paragraph on this page is an Acknowledgement Paragraph binding this document to Florida Statutes section 605.0203 (1)(b). The same Authorized representative who provided a Signature on the previous line must print his or her Full Name on the blank line provided.

Step 15 – Next, make sure that all the information is correct and all attachments are present and accounted for. When you are ready you may submit this paperwork to the Florida Secretary of State. This must be accompanied with a check or money order, made payable to “Florida Department of State,” for the Full Filing Fee amount of $125.00. Any additional services bearing a fee must have the fee added to this amount. If you would like a Certificate of Status to be returned with your documents then you must include an additional payment of $5.00 per Certificate of Status requested. If you wish to have a Certified Copy returned with your documents then you must include an additional payment of $30.00 for each Certified Copy requested.
