How to Form

Step 1 – Develop a Name for the Limited Liability Company you are forming. Each Limited Liability Company must have a unique Name. A suggested precaution when developing this Name is to search for it on the Florida Secretary of State site here: http://search.sunbiz.org/Inquiry/CorporationSearch/ByName. This tool will allow for a search for entities bearing the Name you wish to give the Limited Liability Company being formed.

Step 2 – Once you are reasonably sure that you have a unique Name for your Limited Liability Company, you must organize this entity. One of the most crucial aspects of such organization is to obtain a Florida Registered Agent with a Registered Office. The State of Florida requires that every Limited Liability Company has a Registered Agent who may accept Service of Process in the event it is sued.

Step 3 – Submit the Florida Articles of Organization Limited Liability Company to the Flordida Secretary of State (or Application by Foreign Limited Liability Company For Authorization to Transact Business in Florida, if the filing entity is a foregin Limited Liability Company). This will require a payment of $125.00 (Filing Fee). You must use a check or money order (payable to Florida Department of State) to pay this fee if you are filing by mail or you may pay this fee with a credit card if you are filig online. After Formation
