Form a Domestic LLC in California – Articles of Organization (Form LLC – 1)

The California Secretary of State Articles of Organization Limited Liability Company (LLC-1) is the form required by the California Secretary of State to properly register a domestic Limited Liability Company. This of course does not circumvent requirements of other interested entities such as a jurisdictions tax boards or obtaining a business license however, this form will satisfy the basic registration requirements set forth by the California Secretary of State (California Corporations Code section 17702.01). It is worth noting that, California Limited Liability Companies are not allowed to provide professional services (as per Section 17701.04). Thus, if you need permission from a licensing bureau or other such entity, you should consult with that entity prior to filing these articles. As a rule of thumb, it is considered a good precaution to consult an attorney or an accountant to be abreast of the regulations governing the formation and behavior of a California Limited Liability Company.

The time frame for filing the California Articles of Organization Limited Liability Company (LLC-1) may vary depending upon the work load however the California Secretary of State will generally take five to ten business days although there is no set guarrantee. The California Articles of Organization Limited Liability Company (LLC-1) will require a payment of $70.00. This must be in the form of a check made payable to “Secretary of State.” All the necessary information and supporting paperwork, specific to the forming entity, must be submitted simultaneously with the completed California Articles of Organization Limited Liability Company (LLC-1) and full payment of the filing fees. If you wish to have this order expedited you may drop off this package in person with an additional payment for the $15.00 handling charge. You will received a filed copy of the California Articles of Organization Limited Liability Company upon a successful filing. If you wish to have a certified copy, you must include an additional payment of $5.00 per certified copy requested. Step 1 – Download a blank copy of the California Articles of Organization Limited Liability Company by clicking on the words “Download Form” or by clicking this link: Form LLC-1 then saving it to your computer. If you have a PDF editing program or an appropriate browser extension, you may fill in this information on screen. Otherwise you may print it and fill it in manually with a typewriter.

Step 2 – This document will be five pages. It is recommended to read each page. For the purpose of these instructions, go to page four. This is the Mail Submission Cover Sheet. This is an optional form that may be submitted with the completed California Articles of Organizational meant to aid the correspondence process. Here, you may report the Full Name and Phone Number for the Contact Person regarding this submission. Below this, you may report the Entity Information (Name, FEIN Number, Comments) and the Address where information regarding this submission may be sent.

Step 3 – Locate page five of this document package, labeled “Secretary of State Articles of Organization Limited Liability Company (LLC).” This is the form that must be submitted with a filing fee once it is filled out. In the First Article, labeled “Limited Liability Company Name,” enter or type in the Full Name of the California Limited Liability Company being formed and registered in this document. This must contain one of these terms: LLC, L.L.C., Ltd. Liability Company, or Ltd. Liability Co. In fact, if this is not done, the word “LLC” will be added upon Name during filing. Do not include words such as: bank, corporation, corp, incorporated, inc., insurance company, insurer, or trustee. This may cause a serious delay in filing and likely result in a rejection.

Step 4 – In the Second Article, labeled “Business Addresses,” the Physical Address must be reported. If there is a separate Mailing Address for this entity, this must be reported as well. Locate Article 2a then, in the first box, enter the Building Number, Street, and Unit Number where the LLC may be physically found. In the next box on this line, enter the City where this entity may be physically found. Finally, locate the box labeled “Zip Code” and enter the Zip Code where this entity may be physically found. If the California Limited Liability Company being formed has a separate address where it receives its mail, then enter the Full Mailing Address in the row for Article 2b.

Step 5 – In the Third Article, labeled “Agent for Service of Process,” it will be time to report the Registered Agent obtained for the forming California Limited Liability Company. Here, you may fill in either Article 3a and 3b or you may fill in Article 3c. This will depend upon the type of California Registered Agent obtained. If the California Registered Agent is an individual then fill in this individual’s First Name, Middle Name, Last Name, and Suffix in the appropriate spaces in Article 3a. Then, in Article 3b, enter the Physical Street Address, City, and Zip Code where the California Registered Agent may be physically found. If the California Registered Agent is a business entity, then it must have its information on file with the California Secretary of State, thus, in Article 3c fill in the California Corporate Agent’s Name, this must be the Business Name registered with the California Secretary of State.

Step 6 – In Article 4, labeled “Management,” you will need to define how the forming California Limited Liability Company will be managed. If the California Limited Liability Company will be managed  by One Manager, then mark the first check box. If the California Limited Liability Company will be managed by More than One Manager, then fill in the second box. If the California Limited Liability Company will be managed by all the Limited Liability Company Members then mark the the third box.

Step 7 – Article 5 will bind the Purpose of the forming California Limited Liability Company to the statement contained.

Step 8 – The last line of this document will require the Organizer of the California Articles of Organization Limited Liability Company (Form LLC-1) to Sign his or her Name on the first blank space then Print his or her Name on the second blank space.

Step 9 – Verify all the information is correct. When you are ready, you may mail or drop off the completed California Articles of Organization Limited Liability Company (Form LLC-1) to the California Secretary of State. All drop offs will be considered expedited and be processed first, thus they will bear a handling charge of $15.00. This is in addition to the mandatory $70.00 Filing Fee for this package which must be submitted with a check made payable to “Secretary of State.” If you wish to have additional copies mailed with your filed copy, then you must include an additional $1.00 + $0.50 for each additional page for each copy requested. If you wish a copy to be certified then you must pay an additional $5.00 Certification Fee for each Certified Copy Requested. You may request as many copies or Certified Copies as you like.

Step 10 – The next step will be to file the Statement of Information (LLC-12). This filing must be made within 90 days of the formation of the California Limited Liability Company then once every two years during a specific period (with a six month span).
