How to Form

Register an LLC in Alabama by submitting either the Certificate of Formation (Domestic) or the Application for Registration (Foreign) to the respective State office. The filing fee consists of $100 for domestic and $150 for foreign companies and the application must be filled-in (either typed or neat print). Domestic LLC’s are sent to the County of Probate’s Office in the jurisdiction where the office of the business will be located and Foreign LLC’s are sent directly to the Secretary of State.

Expedited: If the incorporator would like the formation to be completed faster they may request that it be expedited with a fee of an extra $100.

PRIOR TO FILING: The name that you desire must first be registered with the State. Perform a Lookup and see if the name is available, then the name must be reserved before filing and can be Completed Online with a fee to the incorporator of $28. If the name selected is too close to one that is existing or is a duplicate, it will be rejected by the State and the applicant will have to try again. If it is approved a Certificate will be mailed and it must be attached to the LLC Application when filing.

Step 1 – The Application may be begin to be filled-in. Select according to your formation type:

  • Domestic (Certificate of Formation) – Fill-in and make two (2) copies.
  • Foreign (Application for Registration or File Online) – If the PDF form is chosen, fill-in and make two copies.

Step 2 – After completion you will have to add the filing fee* (*For Foreign LLC’s Forming Online – This will be payable via credit and will be $100 more than the paper filing as it is considered being expedited).

  • Domestic – $100
  • Foreign – $150

Step 3 – Unless the formation was completed online, all the contents including:

  • the Application (Certificate of Formation or Application for Registration) + two (2) copies
  • Name Reservation Certificate
  • Filing Fee (credit card written on the third (3rd) page or a check attached)

After Formation

Employer Identification Number – This is a number given by the Internal Revenue Service (IRS) that is required to conduct any type of financial act such as registering a bank account. It is a number that can be obtained for free online (takes about 10-15 minutes) and can be Completed Online or with the PDF Application (Form SS-4).

Operating Agreement – Sets the rules, ownership interest, and many other terms of the LLC by mentioning the members of the company and stating their roles along with any manager(s), registered agent, and any other officials.
